Accordingly, neither Party will (i) use the Confidential Information of the other Party except to exercise rights or perform obligations under this Agreement or (ii) disclose the Confidential Information of the other Party to any third party except to the Recipient’s directors, employees, or consultants to the extent necessary to carry out the purposes of this Agreement, provided that all such recipients are obligated by a written agreement containing confidentiality obligations at least as stringent as described herein.
