The Receiving Party will maintain the confidentiality of the Confidential Information and will not disclose such information to any third party without the prior written consent of the Disclosing Party or unless as authorized herein. The Receiving Party will only use the Confidential Information internally for the purposes contemplated hereunder. The Receiving Party will use the same degree of care to protect the Disclosing Party’s Confidential Information that it uses to protect its own confidential information (but not less than reasonable care). this includes limiting access to the Disclosing Party’s Confidential Information to Receiving Party employees or contractors that have a need to know the Disclosing Party’s Confidential Information and that are subject to confidentiality obligations that are the same or materially similar to those contained herein.
