Either Party may, upon written notice to the other Party, terminate this Agreement for: (a) material breach by the other Party if such Party has failed to cure such material breach within thirty (30) Business Days of receiving written notice of such material breach from the non-breaching Party. or (b) if such termination is required by applicable law, rule or regulation.
