Without affecting any other right or remedy available to it, either party may terminate these Terms with immediate effect upon giving written notice to the other party if: (i) the other party commits a material breach of these Terms which breach is irremediable or, in the event of a remediable breach, the other party has failed to remedy that breach within a period of thirty (30) days after being notified in writing to do so. or (ii) the other party becomes the subject of a voluntary or involuntary proceeding concerning insolvency, receivership, liquidation, or composition for the benefit of creditors.</p> <p>10.2.2.
