Either Party may terminate this Agreement in the event of a material breach of this Agreement by the other party if such breach remains uncured thirty (30) days after receipt of written notice thereof from the non-breaching Party (unless such breach cannot by its nature be cured, in which case the non-breaching Party may terminate this Agreement by written notice immediately upon the occurrence of such breach).
