Either party may terminate this Agreement, and Verkada may suspend Customer’s access to the Hosted Software, for cause (i) upon 30 days written notice to the other party of a material breach if such breach remains uncured at the expiration of the 30-day period, or (ii) if the other party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation or assignment for the benefit of creditors. For purposes of clarity, a material breach of the Agreement includes Customer’s failure to purchase and/or maintain a sufficient number of Licenses, as required by&nbsp;<u>Section 2.1</u>.</p> <p> <b>6.3.</b>&nbsp;<u>Effect of Termination</u>.
