Either party may terminate this Agreement (in whole or with respect to an applicable Order Form) upon written notice to the other party if such other party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days following such notice thereof or immediately if Customer infringes upon or misappropriates Heap’s intellectual property.
