</ol> <p>Either party may terminate this Agreement upon 30 days written notice.</p> <p>This Agreement may be terminated immediately by either party if any of the following events occur:</p> <p>8.1 subject to Section 8(b), the other party materially breaches or materially fails to perform any of its obligations under this Agreement, and such breach or failure to perform remains unremedied (if capable of being remedied) for a period of thirty (30) days after the other party has been given written notice thereof;</p> <p>8.2 the other party is in breach or default of any of its payment obligations under this Agreement and such breach or default remains unremedied for a period of seven (7) days after the other party has been given written notice thereof.
