10.2 Termination</strong> <br> Either party may terminate this Agreement: (a) immediately upon notice if the other party materially breaches any of its obligations hereunder and fails to cure such breach within seven (7) days following written notice. or (b) immediately upon notice in the event of the suspension of business, insolvency, institution of bankruptcy or liquidation proceedings by or against the other party.
