</ol> <p>“12.2 Notwithstanding the foregoing, this Agreement may be terminated by either party immediately upon written notice if the other party: (i) becomes insolvent or ceases doing business for a period greater than ninety (90) days. or (ii) materially breaches any of its obligations under this Agreement and fails to cure such breach within thirty (30) days following written notice to such party. Additionally, ThreatSTOP may terminate access to DHS AIS targets immediately if, in ThreatSTOP’s sole estimation, or upon notification to ThreatSTOP by NCCIC or DHS, the Additional Responsibilities (Section 5) or Confidentiality (Section 6) terms of the DHS AIS Addendum to this Agreement is breached by Customer.
