Either party may terminate this Agreement or a Service Order Form for a material breach by the other party of the terms hereof if the defaulting party fails to cure such material breach within thirty (30) days of its receipt of written notice of the breach from the non-defaulting party. In addition, Logically may immediately terminate this Agreement or a Service Order Form if Client: (i) terminates its business activities or becomes insolvent. (ii) admits in writing to the inability to pay its debts as they mature.
