At any time that there is no uncompleted SOW or non-cancelable order outstanding (but not otherwise), either Party may terminate this Agreement for any or no reason on fifteen (15) days written notice to the other Party.&nbsp. Either Party may terminate this Agreement and/or any SOW with immediate effect on giving written notice to the other Party if: (i) the other Party commits a material breach of this Agreement and/or the SOW (including without limitation failure to pay any amount due) and such breach is not remediable or has not been remedied within thirty (30) days of receipt of notice to remedy such breach. or (ii) the other Party suffers an Insolvency Event.&nbsp.
