Either party may terminate this Agreement for cause upon written notice to the other party if: (a) the other party materially breaches any provision of this Agreement and that breach is not cured within thirty (30) days of the breaching party’s receipt of written notice thereof, provided that the non-breaching party may terminate this Agreement immediately and without a cure period if the breach is not reasonably capable of cure.
