nbsp;<u>Permitted Disclosures</u>. Notwithstanding the provisions of subsection 10.1, each party may disclose the disclosing party’s Confidential Information solely to the extent such disclosure is reasonably necessary for: (i) exercising the rights granted to it and fulfilling its obligations under this Agreement, provided such disclosure is only made to the receiving party’s employees, consultants, or representatives with a need to know such Confidential Information and who are bound by a confidentiality agreement or other duty of confidentiality. (ii) prosecuting or defending litigation. (iii) complying with applicable governmental regulations. (iv) submitting information to tax or other governmental authorities.
