General</b> </p> <p>These Terms of Use (“Terms”) were last modified on 4 April&nbsp;2018.</p> <p>These Terms are a binding agreement between you and FBRI LLC (“FBRI”). By using or accessing the Alzforum website (the “Site”), you accept and agree to be bound by these Terms. Your use of the Site is governed by the version of the Terms in effect on the date the Site is accessed by you.&nbsp;FBRI may modify these Terms at any time and without prior notice.</p> <p>Unless otherwise agreed, FBRI may discontinue or modify the Site at any time without prior notice to you, and you accept those modifications if you continue to use the Site.</p> <p>This Site is intended only for your personal, non-commercial use, unless you and FBRI have agreed otherwise in writing.</p> <p>These Terms govern your use of the Site as well as any digital products and services or mobile applications that FBRI may offer from time to time with respect to Alzforum.</p> <p> <b>2. Content</b> </p> <p> <b>2.1. Ownership of Content</b> <br> All text, graphics and other materials on the Site ("Content") are the property of FBRI, or its licensors, suppliers and other third parties mentioned on the Site (collectively the "Third Party Content Providers"), in each case as indicated by the copyright notice for each Content item. All works of authorship are protected by applicable copyright laws. All trademarks and service marks on the Site belong to FBRI or its parent FMR LLC (“FMR”), except third party trademarks and service marks, which are the property of their respective owners.</p> <p>The Site includes news and information, tools, commentary, research reports and data concerning Alzheimer’s disease and other subjects. Some content is supplied by FBRI, some (the “Third Party Content”) is provided by Third Party Content Providers and some is provided by users of the Site (see “User-Generated Content” below).</p> <p> <b>2.2. User-Generated Content</b> <br> If you submit any information, idea, concept or invention to the Site you agree that FBRI may release such submission to others, subject to the Alzforum Privacy Policy, and you automatically grant or warrant that the owner of such content or intellectual property has expressly granted FBRI a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to store, use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display such intellectual property in any media or medium, or any form, format, or forum now known or hereafter developed. FBRI may sublicense its rights through multiple tiers of sublicenses.</p> <p>You warrant that your submissions are truthful and provided in good faith. you understand that users are relying on the accuracy and truthfulness of submissions made, and that FBRI, and the scientific community in general, can be damaged if any of your submissions are false or misleading.</p> <p>You authorize FBRI to publish your name, affiliation and/or geographic location in connection with your submission. Once your submission is posted, you acknowledge that you will not have the right to remove or edit it.</p> <p>FBRI&nbsp;reserves the right, but is not obligated, to do any or all of the following:</p> <p>1. Record the dialogue in online forums.<br> 2. Investigate an allegation that a communication(s) do(es) not conform to the terms of this section and determine in its sole discretion to remove or request the removal of the communication(s).<br> 3. Edit or remove communications which fail to conform with these Terms.<br> 4. Terminate a user's access to any or all interactive areas of the Site (or otherwise revoke a user’s privilege to submit content) for any reason, without prior notice.<br> 5. Monitor, edit, or disclose any submission you make to the Site, subject to the Alzforum Privacy Policy.<br> 6. Edit or delete any communication(s) posted on the Site, regardless of whether such communication(s) violates these Terms.</p> <p>FBRI reserves the right to edit comments and other text submissions posted to or otherwise submitted to the Site, and also reserves the right not to post or to terminate the posting of comments or other text submissions.</p> <p>FBRI and the Third Party Content providers have no liability or responsibility to users of the Site or any other person or entity for performance or non-performance of the aforementioned activities.</p> <p>FBRI shall have no liability to protect, store or maintain the annotations that users of the Site may add to the Content on the Site.</p> <p> <b>2.3. Third Party Content</b> <br> Although Third Party Content may be displayed on the Site or available through a link to a third-party site, FBRI has not been involved in the preparation, adoption or editing of Third Party Content. While FBRI makes every attempt to provide accurate and timely information to serve the needs of users, neither FBRI nor the Third Party Content Providers guarantee its accuracy, timeliness, completeness or usefulness, and are not responsible or liable for any such content, including any advertising, products, or other materials on or available from third party sites. FBRI and the Third Party Content Providers specifically disclaim any responsibility for Content available on the Site. The use of the Site and the Content, including Third Party Content, is at your own risk.</p> <p> <b>3. Use of Site</b> </p> <p> <b>3.1. Use of the Site</b> <br> If you use the Site you are solely responsible for your own communications, the consequences of posting those communications, and your reliance on any communications found on the Site. FBRI and the Third Party Content providers are not responsible for the consequences of any communications provided by you or other third parties on the Site.</p> <p> <b>3.2. Account and Password</b> <br> The Site has several tools that allow you to record and store information and require a login. You may not obtain or attempt to obtain unauthorized access to such areas of the Site through any means not intentionally made available by&nbsp;FBRI for your specific use. You are responsible for all activities that occur in connection with your account and password. It is your sole responsibility to (1) control the dissemination and use of activation codes and passwords. (2) restrict access to and use of your Alzforum account and password. (3) promptly inform&nbsp;FBRI of any need to deactivate a password. and (4) notify FBRI immediately if you become aware of any disclosure, loss, theft or unauthorized use of your password.</p> <p> <b>3.3. Prohibited Uses</b> <br> FBRI reserves the right to limit a user’s access to the Site if a user is deemed to violate any of the conditions stated in this Terms of Use.</p> <p>You shall not</p> <p>(1) use the Site for any illegal purpose<br> (2) distribute any viruses or other harmful computer code to any FBRI server, or any network connected to any FBRI server<br> (3) use the Site in any manner that could damage or overburden any&nbsp;FBRI server, or any network connected to any FBRI server<br> (4) access the Site through devices or services that are designed to provide high-speed, automated, repeated access, unless such devices are approved or made available by&nbsp;FBRI<br> (5) engage in any other conduct that restricts or inhibits, any other person from using or enjoying the Site, or,<br> (6) engage in any other conduct which, in the judgment of FBRI, exposes&nbsp;FBRI or any of its site users or content providers to any liability or detriment of any type.</p> <p>You may not copy, distribute, modify, post or frame-in the Site, including any text, graphics, video, audio, software code, user interface design or logos, without prior written permission from&nbsp;FBRI or the copyright owner. You may not alter or remove any trademark, copyright or other notice from the Content.</p> <p>If you make submissions to the Site, you agree that you will not (1) send or transmit to the Site any communications, content or submissions of any kind that infringe or violate the intellectual property, privacy, publicity or other rights of any party or that are unlawful, obscene, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by&nbsp;FBRI in its sole discretion, or (2) post personal information of any other person (including, without limitation, Protected Health Information).</p> <p> <b>3.4. Linking Policy</b> <br> Unless you and&nbsp;FBRI have agreed otherwise, links from another website to the Site must resolve to the top-level homepage of the Site. If you place a link on your or another web site to the Site, neither the web site nor the link may suggest that&nbsp;FBRI or Alzforum endorses, sponsors or is affiliated with any other site, entity, service or product, and you may not make use of any trademarks or service marks of&nbsp;FBRI or FMR other than those contained within the text of the link.</p> <p> <b>4. Disclaimer of Medical Advice</b> </p> <p>The Site does not provide medical advice. The Content is for informational, educational, research and reference purposes only and is not intended to substitute for professional medical advice, diagnosis or treatment. Severability</b> </p> <p>If a court of competent jurisdiction deems any provision unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Exclusive jurisdiction for any claim or cause of action relating to the Site shall be with the state or federal courts located in the Commonwealth of Massachusetts. The Site is controlled and operated from the United States of America. If you access the Site from outside the United States, you are responsible for compliance with all applicable laws, rules and regulations.</p> <p> <b>10.
