ontentthroughtheServices,youherebygranttoFirefliesaworldwide,,irrevocable,perpetual,non-exclusive,transferable,royalty-freelicense,withtherighttosublicense,to,use,access,view,copy,adapt,modify,distribute,license,sell,transfer,publiclydisplay,publicly,perform,transmit,stream,broadcastandotherwiseexploitsuchUser C ontenton,throughorbymeans,oftheServices.WedonotclaimanyownershiprightsinanysuchUser C ontentandnothinginthis,AgreementwillbedeemedtorestrictanyrightsthatyoumayhavetouseandexploitanysuchUser, C ontent.,Youareresponsibleforcompliancewithallrecordinglaws.Youmaychoosetorecordcertainmeetings,inFireflies.ByusingtheServices,youaregivingFirefliesconsenttostorerecordingsforanyorall,Firefliesmeetingsorwebinarsthatyoujoin,ifsuchrecordingsarestoredinFireflies’systems.Youwill,3,4812-0483-4510,v.2,receiveanotification(visualorotherwise)whenrecordingisenabled.Ifyoudonotconsenttobeing,recorded,youcanchoosetoleavethemeeting.,5.RepresentationsandWarranties,Yourepresentandwarrantthat:(i)youare18yearsofageorolderorareatleastofthelegallyrequired,ageinthejurisdictioninwhichyoureside,andareotherwisecapableofenteringintobindingcontracts,,and(ii)youhavetheright,authorityandcapacitytoenterintothisAgreementandtoabidebytheterms,andconditionsofthisAgreement,andthatyouwillsoabide.WhereyouenterintothisAgreementon,behalfofacompanyorotherorganization,yourepresentandwarrantthatyouhaveauthoritytoacton,behalfofthatentityandtobindthatentitytothisAgreement.,Youfurtherrepresentandwarrantthat(i)youhaveread,understand,andagreetobeboundbythese,TermsofServiceandthePrivacyPolicyinordertoaccessandusetheServices,(ii)youwillact,professionallyandresponsiblyinyourinteractionswithotherusers,and(iii)whenusingoraccessingthe,Services,youwillactinaccordancewithanyapplicablelocal,state,orfederallaworcustomandingood,faith.,Youagreenottoengageinanyofthefollowingprohibitedactivities,amongothers:(i)copying,,distributing,ordisclosinganypartoftheServicesinanymediumotherthanasallowedbytheServices,andtheseTermsofService;(ii)usinganyautomatedsystem(otherthananyfunctionalitiesofthe,Services),includingwithoutlimitation“robots,”“spiders,”“offlinereaders,”etc.,toaccesstheServices;,(iii)transmittingspam,chainletters,orotherunsolicitedemailorattemptingtophish,pharm,pretext,,spider,crawl,orscrape;(iv)attemptingtointerferewith,compromisethesystemintegrityorsecurityor,decipheranytransmissionstoorfromtheserversrunningtheServices;(v)violatinganyinternational,,federal,provincialorstateregulations,rules,laws,orlocalordinances;(vi)conductinganyunlawful,purposesorsolicitingotherstoperformorparticipateinanyunlawfulacts;(vii)uploadinginvaliddata,,viruses,worms,orothersoftwareagentsthroughtheServices;(viii)infringinguponorviolateour,intellectualpropertyrightsortheintellectualpropertyrightsofothers;(ix)impersonatinganother,personorotherwisemisrepresentingyouraffiliationwithapersonorentity,conductingfraud,hidingor,attemptingtohideyouridentity;(x)harassing,insulting,harming,abusing,defaming,abusing,harassing,,stalking,threatening,intimidatingorotherwiseviolatingthelegalrights(suchasofprivacyandpublicity),ofanyotherusersorvisitorsoftheServicesorstaffmemberofFireflies;(xi)interferingwithorany,activitythatthreatenstheperformance,securityorproperfunctioningoftheServices;(xii)uploadingor,transmittingvirusesoranyothertypeofmaliciouscode;(xiii)attemptingtodecipher,decompile,,disassembleorreverseengineeranyofthesoftwareoralgorithmsusedtoprovidetheServices;(xiv),bypassingthesecurityfeaturesormeasureswemayusetopreventorrestrictaccesstotheServices,,includingwithoutlimitationfeaturesthatpreventorrestrictuseorcopyingofanycontentorenforce,limitationsonuseoftheServicesorthecontenttherein;(xv)attemptingtoaccessunauthorized,Accountsortocollectortrackthepersonalinformationofothers;(xvi)usingtheServicesforany,purposeorinanymannerthatinfringestherightsofanythirdparty;or(xvii)encouragingorenabling,anyotherindividualtodoanyoftheforegoing.,Youherebywarrantandrepresentthat,otherthanasfullyandpromptlydisclosedtoFirefliesasset,forthbelow,youdonothaveanymotivation,status,orinterestwhichFirefliesmayreasonablywishto,knowaboutinconnectionwiththeServices,includingwithoutlimitation,ifyouareusingorwillor,intendtousetheServicesforanyjournalistic,investigative,orunlawfulpurpose.Youherebywarrant,4,4812-0483-4510,v.2,andrepresentthatyouwillpromptlydisclosetoFirefliesinwritinganysuchmotivation,statusor,interest,whetherexistingpriortoregistrationorasarisesduringyouruseoftheServices.,6.MobileAppUpdatesandUpgrades,ByinstallingtheApp,youconsenttotheinstallationoftheAppandanyupdatesorupgradesthatare,releasedthroughtheServices.TheApp(includinganyupdatesorupgrades)may(i)causeyourdeviceto,automaticallycommunicatewithFireflies’serverstodelivertheAppfunctionalityandtorecordusage,metrics,(ii)affectApp-relatedpreferencesordatastoredyourdevice,and(iii)collectpersonal,informationassetoutinourPrivacyPolicy,includinglocationinformation.YoucanuninstalltheAppat,anytime.,7.TerminationandSuspension,UnlessotherwiseagreedtoinwritingbetweenyouandFireflies,eitherpartymayterminatethese,TermsofServiceforanyornocause,atanytime.YoumaycancelanddeleteyourAccountatanytime,byeitherusingthefeaturesontheServicestodoso(ifapplicableandavailable)orbywrittennoticeto,support@fireflies.ai.Aftercancellation,youwillnolongerhaveaccesstoyourAccount,yourprofileor,anyotherinformationthroughtheServices.TheprovisionsoftheseTermsofServicewhichbytheir,intentormeaningintendedtosurvivesuchtermination,includingwithoutlimitationtheprovisions,relatingtodisclaimerofwarranties,limitationsofliability,andindemnification,shallsurvivetheany,terminationoftheseTermsofServiceandanyterminationofyouruseoforsubscriptiontotheServices,andshallcontinuetoapplyindefinitely.,WereservetherighttorefusetheServicestoanyoneforanyreasonatanytime.Firefliesmay,terminateorlimityourrighttousetheServicesintheeventthatweareinvestigatingorbelievethatyou,havebreachedanyprovisionofthisAgreement,byprovidingyouwithwrittenoremailnotice.Such,terminationorlimitationwillbeeffectiveimmediatelyupondeliveryofsuchnotice.IfFireflies,terminatesorlimitsyourrighttousetheServicespursuanttothissection,youareprohibitedfrom,registeringandcreatinganewAccountunderyourname,afakeorborrowedname,orthenameofany,thirdparty,evenifyoumaybeactingonbehalfofthethirdparty.,EvenafteryourrighttousetheServicesisterminatedorlimited,thisAgreementwillremainenforceable,againstyou.Firefliesreservestherighttotakeappropriatelegalaction,includingbutnotlimitedto,pursuingarbitrationinaccordancewithSection14oftheseTermsofService.,Firefliesreservestherighttomodifyordiscontinue,temporarilyorpermanently,alloranyportionof,theServicesatitssolediscretion.Firefliesisnotliabletoyouforanymodificationordiscontinuanceof,alloranyportionoftheServices.Fireflieshastherighttorestrictanyonefromcompletingregistration,asauserifFirefliesbelievessuchpersonmaythreatenthesafetyandintegrityoftheServices,orif,in,Fireflies’discretion,suchrestrictionisnecessarytoaddressanyotherreasonablebusinessconcern.,FollowingtheterminationorcancellationofyourAccount(asdefinedbelow),wereservetherightto,deleteallyourdata,includinganyUser C ontent,inthenormalcourseofoperation.Yourdatacannotbe,recoveredonceyourAccountisterminatedorcancelled.,8.LinkstoThird-PartyWebsites,5,4812-0483-4510,v.2,TheServicesmaycontainlinks(suchashyperlinks)tothird-partywebsites.Suchlinksdonotconstitute,endorsementbyFirefliesorassociationwiththosewebsites,theircontentortheiroperators.Suchlinks,(includingwithoutlimitationexternalwebsitesthatareframedbytheServicesaswellasany,advertisementsdisplayedinconnectiontherewith)areprovidedasaninformationservice,forreference,andconvenienceonly.Firefliesdoesnotcontrolanysuchwebsites,andisnotresponsiblefortheir(i),availabilityoraccuracy,or(ii)content,advertising,products,orservices.Itisyourresponsibilityto,evaluatethecontentandusefulnessoftheinformationobtainedfromotherwebsites.Youacknowledge,andagreethatFirefliesisnotinvolvedinthecreationordevelopmentofthird-partywebsitesand,disclaimsanyresponsibilityforthird-partywebsites,andcannotbeliableforclaimsarisingoutofor,relatingtothird-partywebsites.Further,youacknowledgeandagreethatFireflieshasnoobligationto,monitor,review,orremovelinkstothird-partywebsites,butreservestherighttolimitorremovelinks,tothird-partywebsitesontheServicesatitssolediscretion.,Theuseofanywebsitecontrolled,ownedoroperatedbythirdpartiesisgovernedbythetermsand,conditionsofuseandprivacypoliciesforthosewebsites.Youaccesssuchthird-partywebsitesatyour,ownrisk.Firefliesexpresslydisclaimsanyliabilityarisinginconnectionwithyouruseand/orviewingof,anywebsitesorothermaterialassociatedwithlinksthatmayappearontheServices.Youherebyagree,toholdFirefliesharmlessfromanyliabilitythatmayresultfromtheuseoflinksthatmayappearonthe,Services.,AspartofthefunctionalityoftheServices,youmaylinkyourAccountwithonlineaccountsyoumay,havewiththird-partyserviceproviders,suchas oogle(eachsuchaccount,a“Third-PartyAccount”)by,either:(i)providingyourThird-PartyAccountlogininformationthroughtheServices;or(ii)allowing,FirefliestoaccessyourThird-PartyAccount,asispermittedundertheapplicabletermsandconditions,thatgovernyouruseofeachThird-PartyAccount.Yourepresentthatyouareentitledtodiscloseyour,Third-PartyAccountlogininformationtoFirefliesand/orgrantFirefliesaccesstoyourThird-Party,Account(including,butnotlimitedto,foruseforthepurposesdescribedherein),withoutbreachbyyou,ofanyofthetermsandconditionsthatgovernyouruseoftheapplicableThird-PartyAccountand,withoutobligatingFirefliestopayanyfeesormakingFirefliessubjecttoanyusagelimitationsimposed,bysuchthird-partyserviceproviders.BygrantingFirefliesaccesstoanyThird-PartyAccounts,you,understandthat(1)Firefliesmayaccess,makeavailableandstore(ifapplicable)anycontentthatyou,haveprovidedtoandstoredinyourThird-PartyAccount(the“SNS C ontent,ifany,shallbeconsideredtobeUser C
