11.10 <em>Governing Law; Jurisdiction.</em> The validity, interpretation, performance and enforcement of this Agreement shall be governed by the laws of the State of California and each party irrevocably submits to exclusive jurisdiction and venue in the courts located in Santa Clara County, California.
