A person who is not a party to these Terms has no right to benefit under or to enforce any term of these Terms.</li> <li> <em>Governing Law and Venue.</em> These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, other than such laws and case law that would result in the application of the laws of a jurisdiction other than the State of California.
