The parties agree that the state or federal courts in New York shall have non-exclusive jurisdiction of any Applicable Dispute.</p> <p>(c) <strong>Governing Law.</strong> To the maximum extent permitted by the mandatory laws in Your country of residence, this Agreement and any Applicable Dispute arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes), will be governed by, and construed in accordance with, the laws of the U.S. and the State of New York without regard to its conflicts of law provisions.</p> <p>
