28. GOVERNING LAW AND JURISDICTION</strong> <br>28.1 These Sales Terms and Conditions, the Sales Contract and all matters arising there from or connected therewith are governed by the laws of England and Wales, to the exclusion of the provisions of the UN Convention on Contracts for the International Sale of Goods.</p> <p>28.2 Subject to Clause 28.3, the competent courts of England shall have exclusive jurisdiction to hear and determine any suit, action or proceedings, and to settle any disputes, which may arise out of or in connection with the Sales Contract or other Sales Contracts or other legal relationships resulting there from or in connection therewith.</p> <p>28.3
