9.1.&nbsp. Indemnification by ACG.</b>&nbsp. ACG will indemnify, defend, and hold harmless Subscriber and its parents, subsidiaries, and affiliates, and their respective officers, directors, shareholders, employees, and agents from and against any third-party claims, actions, suits, together with all liabilities, losses, damages, costs, and expenses (including reasonable attorney’s fees) arising therefrom (collectively, “<b>Claims</b>”), arising from or related to: (a) allegations that use of the Services as permitted under this Agreement infringes on or violates a third party’s Intellectual Property Rights or rights of privacy or publicity (the “<b>IP Indemnification</b>”).
