Indemnity.</b> <ol> <li> <u>Indemnity by Client.</u> Client agrees to defend, indemnify and hold FullContact (and its officers, directors, employees, agents, successors and assigns) harmless from any claims, demands, actions, suits, investigations or proceedings brought by a third party (<b>“Claims”</b>) and all resulting judgments, settlements, damages, losses, costs, fees (including reasonable attorneys’ fees and court costs) and expenses (<b>“Losses”</b>) due to or arising out of (i)&nbsp;Client’s breach or violation of any of the terms of this Agreement or any breach of its representations or warranties set forth herein.
