Prulu may also at its sole discretion limit access to the Service and/or terminate the accounts of any Users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.<br> <br> <br> CHOICE OF LAW AND LOCATION FOR RESOLVING DISPUTES This Agreement shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict-of-laws principles. The United Nations Convention on the International Sale of Goods shall not apply to this Agreement.<br> <br> You expressly agree that exclusive jurisdiction for any claim or dispute with any Prulu Party or relating in any way to your use of the Service resides in the courts located in Santa Clara County, California, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts located in Santa Clara County, California in connection with any such dispute including any claim involving any Prulu Party.<br> <br> <br> MODIFICATIONS TO THIS AGREEMENT We reserve the right, in our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. provided that we will not change the economic terms set forth in this Agreement except as otherwise provided herein. Such modifications become effective immediately upon the posting thereof.
