<p>Except where prohibited by applicable law, these Terms, and all claims or causes of action (whether sounding in contract, tort, any statutory cause of action, or any other legal theory) that may be based upon, arise out of, or relate to these Terms, the use of the Sites, the rights and responsibilities of the parties, and all other disputes between the parties, shall be governed by, and construed and enforced in accordance with, the laws of the State of New York, without regard to or application of conflict of law.
