The parties agree that any action, proceeding, controversy or claim between them arising out of or relating to this Agreement (collectively, an “Action”) shall be shall be submitted to binding arbitration in Austin, Texas. The arbitration shall be conducted in accordance with the Commercial Rules of the American Arbitration Association in effect at the time the dispute or claim arose. The arbitration shall be conducted by one arbitrator from AAA or a comparable arbitration service.
