No failure by us to exercise, and no delay by us in exercising, any right or remedy shall operate as a waiver thereof.  If any provision of this Agreement or the application thereof to any person or circumstances shall, to any extent, be invalid or unenforceable, such provision shall be deemed automatically reformed to the extent, and only to the extent, necessary to render it valid and enforceable under applicable law.
