This Agreement shall be exclusively governed by and construed in accordance with, and you exclusively and irrevocably attorns to, and agrees to apply, the laws of the State of Nevada and the federal laws which may be applicable herein (regardless of conflict of law principles) to the exclusion of all other laws in any jurisdiction or country.
