Neither party may assign or transfer any of its rights or obligations under this Agreement or the SO without the,prior written consent of the other party except (i) in connection with a merger, acquisition or sale of all or any portion of such,party’s assets or business, provided that such party’s successor entity or third party assumes in writing all of such party’s,obligations under this Agreement and agrees in writing to be bound by this Agreement, (ii) that Provider may without the consent,of Customer assign or transfer the Agreement to Provider’s Affiliates.
