Neither this Agreement nor any interest hereunder shall be transferable or assignable by Organization without the prior written consent of Watermark. provided, however, that Organization may assign this Agreement without consent to an affiliate or to any successor-in-interest in connection with the merger or the sale of all or substantially all of its capital stock or assets to which this Agreement relates.
