These Terms of Use and any applicable Additional Terms, General Disputes and IP Disputes, and any other claim brought by you against the BNED Parties or by BNED against you pursuant to this Section 9, or otherwise related to the Services, Content, Licensed Elements, UGC, products or BNED Intellectual Property, will be governed by, construed, and resolved in accordance with, the laws of the State of New York, U.S.A., without regard to its conflicts of law provisions that might apply the laws of another jurisdiction.
