Licensee agrees to indemnify, defend, and hold the Company and its affiliates and their respective directors, officers, employees, and agents (collectively “Indemnified Company Persons”) harmless from and against any Losses arising out of any lawsuit, action, claim, demand, administrative action, arbitration, or other legal proceeding brought or asserted against any Indemnified Company Person as a result of or in connection with: (a) Licensee’s breach or alleged breach of any covenant or representation herein or of Licensee’s own posted privacy policy (or similar posted privacy statement). or (b) any violation of applicable law by Licensee or any other Indemnified Licensee Persons.
