This Agreement is to be construed in accordance with and governed by the internal laws of the State of California without giving effect to choice of law. For all disputes arising out of or relating to this Agreement or the Services that are heard in court (and not via arbitration), you and the Company irrevocably consent to the exclusive (and in personam) jurisdiction and venue of the state or federal courts in the City of Los Angeles and waive any objection based on improper venue or inconvenient forum.</p> <p>
