</ol> </li> <li> General Provisions <ol> <li> <strong>Compliance with Laws.</strong> During the term of this Agreement, each Party shall comply with all applicable laws, including but not limited to the Internal Revenue Code and the California Corporations Code as shall from time to time govern nonprofit organizations and the receipt of donations to such organizations in California and the United States of America. </li> <li> <strong>Applicable Law.</strong> Notwithstanding anything in this Agreement to the contrary, the laws of the State of California shall govern the performance and construction of this Agreement and the interpretation of the Parties’ rights and duties without reference to its conflict of laws principles.
