This Agreement is governed by the laws of Delaware except for any security interest created pursuant to Section C2 above, which will be governed by and construed in accordance with the laws of the applicable country, state, province, territory, or other jurisdiction in which such security interest is registered, and in each case without regard to its choice of law provisions to the contrary.
