Clearview and the Customer will reasonably cooperate with the legal counsel selected by the Customer in defending against the subpoena.</p> <p>​</p> <p>Clearview will defend, indemnify and hold harmless the Customer and its affiliates and their respective directors, officers, employees, and agents from and any and all damages, liabilities, costs and expenses (including reasonable attorneys’ fees) incurred as a result of any third-party claim, judgment or proceeding (i) arising out of Clearview’s gross negligence or willful misconduct in its performance and delivery of the Products and Services under this Agreement, or (ii) alleging that data Clearview used to train its proprietary algorithm, which is part of the Products and Services violates third-party patent, trade secret, trademark, or copyright rights.
