or (e) is developed by or for the receiving Party independently of the information disclosed by the disclosing Party.</li> <li>A Party may disclose the other party's Confidential Information to those of its Representatives who "need to know" such Confidential Information in order to perform their obligations pursuant to this Agreement, provided that the disclosing Party:&nbsp;(a) informs such Representatives of the confidential nature of the Confidential Information before any disclosure is made,&nbsp;(b) is at all times responsible for such Representatives' compliance with the confidentiality obligations set out in this clause and (c) keeps a written record of those persons.</li> <li>
