(d) such disclosure is to employees, consultants or agents of the disclosing party who have a need to know such confidential information in order to assist the disclosing party in carrying out its obligations hereunder. or (e) such disclosure is (i) to legal counsel of the Parties. or (ii) in confidence, to accountants, banks, proposed investors, acquirers and financing sources and their advisors. </p>
