(c) is given to the receiving party by a third-party not under a confidentiality obligation to the disclosing party. or (d) is developed by the receiving party independently of, and without reliance on, confidential or proprietary information provided by the disclosing party.</p> <p>10.2 Each party may be given access to Confidential Information of the other party in connection with these Terms. The receiving party may only use this Confidential Information as provided for in these Terms or to exercise its rights hereunder and may only share this Confidential Information with its employees, agents, advisors and service providers who need to know it, provided they are subject to similar confidentiality obligations.
