oogle,BigQuerydata.Thenumberisroundedtothewholenumberof,thousandsifless.,1.5.2.Pipelines—ThePipelineisconsideredactiveifitwasconnectedto,theProjectandatleast1Kbofdatawastransferredthroughit.,1.5.3.Hours—HoursforconsultancyarecountedbasedonOWOXinternal,countingproceduresandroundedto30minutesifless.,1.6.Businessusage.OWOXprovidesServicesonlytolegalentitiesand/orsole,tradersforthepurposeofinternalbusinessoperations.Aslongas C lientuses,Servicesonbehalfofabusiness,thatbusinessacceptstheseterms.Itwill,holdharmlessandindemnifyOWOXanditsaffiliates,officers,agents,and,employeesfromanyclaim,suitoractionarisingfromorrelatedtotheuseof,theServicesorviolationoftheseTerms,includinganyliabilityorexpense,arisingfromclaims,losses,damages,suits,judgments,litigationcostsand,attorney'sfees.,1.7.Incasethe C lientordersServicesonbehalfofandforthebenefitofthethird,party,the C lientshallconfirmitsauthoritytoactonbehalfofthethirdparty.,1.8.OWOXwillsubscribe C lienttotheOWOXnewsletter,oncethe C lientregister,anAccount,initialesTrialand/orstartsServicesusage.The C lientmayopt,outatanytimebyclickingontherelevant"unsubscribe"linkatthebottomof,anyemail,receivedfromOWOX.OWOXmaycontinuetoemailthe C lient,despitehis/herunsubscribepreferencesforadministrativeandoperational,reasons(e.g.changeinpriceand/orservicesscope).,2.Payment,2.1.Price.ThepricefortheServicesisindicatedat,https://www.owox.com/pricing-details/.ThePlans C ostdata,OWOXBIBasic,orOWOXBIBusinessareavailableforfurtherpurchasefortheProjects,that,havebeenusingthesePlansbefore22December2019,theseProjectscan,staywithintheircurrentPlan'slimitorchangeittoMarketingDataorReports,&Attribution.,ThePricefortheone-timeserviceorprojectservicecouldbeaone-offfee,plusanadditionalfeefortheoutofscopeservicesifany.,ThePricefortherecurringServicesconsistsofthemonthlyfeeandadditional,feefortheout-of-scopeusageifany.,Unlessagreedotherwise,thepaymentobligationsarenon-cancellableand,thefeespaidarenon-refundable.,2.2.Trial.OWOXcan,atitssolediscretion,makeavailableafreetrialversionof,theServicestothe C lientforlimiteduse.Theprovisionofthetrialversionof,theServicesshalllast14(fourteen)days.The C lientagreesthatduringthe,trialperiodonlylimitedServicesshallbeprovidedtothe C lientandforthe,solepurposeoftestingandtryingtheServices.Afterthelapseofthe14-day,trialperiod,the C lientshallpayforthenextperiodofServicesprovision,or(b),the C lientshallceasetousetheServicesforanypurpose.Ifthe C lientdoes,notceasetousetheServicesafterthelapseofthe14-daytrialperiod,the, C lientshallbeobligedtopayfortheServices.OWOXshallhavetherightat,anytimeduringand/orafterthe14-daytrialperiodtostopprovidingtheTrial,Servicestothe C lient.,2.3.USD C urrency.ThepricefortheServicesshallbepayableinUSdollars.,2.4.Terms.TheServicesshallbepaidonaprepaymentbasisbycredit/debit,cardthroughtheStripepaymentprocessingsystembeforethestartofthe,prepaymentperiod.Anyoutofscopeservicesshallbepaidbythecredit/,debitcardonamonthlypost-paymentbasis.,IfagreedbythePartiesinwriting,OWOXmayissueaninvoiceforpayment,fortheServices.Inthiscase,theServicesshallbepaidontheprepayment,basiswithin5workingdaysfromtheinvoicedate,andonamonthly,post-paymentbasiswithin5businessdaysfromtheinvoicedate—forany,outofscopeservices.,2.5.Delayinpayment.OWOXshallhavetherighttopostponetheServices,provisionuntiltheyarefullypaidbythe C lient.,2.6.Taxesarenotincluded.Allpricesareindicatedwithouttaxes,includingall,business,sales,value-added,withholding,stamp,andallothersimilartaxes,orduties.EveryPartywillberesponsiblefortaxesonitsown.Intheevent,thattaxesmustbewithheldfrompaymentstoOWOX,the C lientwillincrease,thepaymenttoOWOXsothattheamountreceivedbyOWOXisthesameas,itwouldhavebeenifnotaxeswerewithheld.,2.7.Bankcommissions.Bankcostsontheterritoryofthe C lientarebornebythe, C lient,bankcostsontheterritoryofOWOXarebornebyOWOX,bankcosts,oftheforeigncorrespondentbanksarepaidbythe C lient.,2.8.The G oogle C loudPlatformservicesarenotincludedinthepriceforthe,Servicesandshallbepaiddirectlyto G oogle.,3.Definitions,IntheseTermsthedefinitionsshallhavethefollowingmeaning:,Accountisa G oogleaccountthatprovidesaccesstotheOWOXBIsystem(asetofdata,aboutthe C lientstoredinacomputersystemthatisnecessaryfor C lient's,identification(authentication)andprovidingaccesstoProjects,data,settings,andservices).,BetameansanyAlpha,BetaversionoranyotherpreliminaryversionofOWOXBI,servicesmarkedassuchinthedocumentation,intheProjectoronOWOX's,Website.Betaisnotafinalversion,thereisnofeeforitsusageandOWOX,doesnotguaranteeitsstableandcorrectoperationandatanytimemay,changeorstoptheoperationofsuchanOWOXBIservicewithoutpriornotice,tothe C lient., C onfidentialinformationmeansallinformationdisclosedbyonePartytoanotherParty,whichisinthetangible(inwrittenorelectronic)formandlabeled“confidential”,(orwithasimilarlegend)orwhichareasonablepersonwouldunderstandtobe,confidentialgiventhenatureoftheinformationandcircumstancesofdisclosure,(includinginformationprovidedverbally)or“tradesecret”.Notwithstandingthe,foregoing, onfidentialInformationshallnotincludeinformationthat(a)was,alreadyknowntothereceivingpartyatthetimeofdisclosurebythedisclosing,party;(b)wasorisobtainedbythereceivingpartyfromathirdpartynotknown,bythereceivingpartytobeunderanobligationofconfidentialitywithrespectto,suchinformation;and(c)isorbecomesgenerallyavailabletothepublicother,thanbyviolationoftheseTerms;(d)independentlydevelopedbytheother,Party.,OWOXBIServicesisacomplexoftoolsandservicesforcollectingandconverting,rawdatafromtheweb-objectsintoinformation,andinformationintoknowledge,fortheirfurtheruseforbusinessanalysis,anddependingontheamountagreed,byOWOXfortheparticularProjectincludethefollowingservices:OWOXBI,,OWOXBIAttribution,OWOXBIPipeline,OWOXBISmartData.,OWOXBIisacloudsolutionconsistingofasetofservicesfortheintegrationof G oogle,products,web-objects,andthird-partyservicestoincreasetheefficiencyof,analyticaltools.,OWOXBIAttributionisaservicethatgivesanopportunitytoevaluatethe,contributionofeachUsersessionthatledtothepurchaseofaproduct,taking,intoaccountitsinfluenceonthepromotionoftheUserthroughtheconversion,funnel.AdetaileddescriptionofOWOXBIAttributionisavailableatthelink:,https://www.owox.com/products/bi/attribution/,thecontent,andURLmay,changefromtimetotime.,OWOXBIPipelineisaservicethatallowstosetupandmanagedataflows(forexample,,itintegratesinto G oogleAnalytics/ G oogleBigQuery C ostDataImport,,importofdataonexpenses,clicksandviewsfromanadvertisingserviceinto, G oogleAnalytics/ G oogleBigQuery.,PlanmeansthescopeofOWOXBIfeaturesandotherservicesthatareprovidedby,OWOX.,Projectisasetofdataaboutthe C lient,theServicesrendered,mutualsettlements,,personalsettings,thatisstoredintheOWOXBIsystemandtowhichalimited,numberofAccountshaveaccess.,UsermeansavisitorofWeb-object,whoisassociatedwithauniqueidentifierand,whose G oogleBigQuerydatahasbeenprocessedinOWOXBIProjectwithin,onemonth.,Web-objectmeansanywebsite,mobileversionofthewebsite,applicationorother,web-objectcontrolledbythe C lientandinrespectofwhichtheServicesare,providedbyOWOX.Thespecificweb-objectinrespectofwhichOWOXrenders,theServicesisdeterminedbythe C lientintheProject.,IftheWeb-objectbelongstoathirdparty,the C lientbearsallresponsibilityfor,obtainingtheconsentofsuchthirdpartyforServicesrenderencebeforeadding,theseWeb-objecttoOWOXBIProject.Inthiscase,byaddingthese,Web-objecttoOWOXBIProject,the C lientconfirmsandguaranteesthathe,hasreceivedthecorrespondingconsentfromtheWeb-objectownerforthe,renderenceoftheServicesbyOWOX.,Referencesto‘writing’intheseTermsincludeanyelectroniccommunicationsbetween,theParties.,4.Client data,4.1.SomeofOWOXBIServicesallowthe C lienttoprocessdata.The C lient,retainsownershipofanyrightsthatthe C lientholdsinthatdata.,4.2.OWOXanditscontractorsmayonlyusethedatatowhichthe C lientgrants,accessintheProject,forthefollowingpurposes:,(i)toprovidetheOWOXBIServicesandtechnicalsupport,inaccordancewiththe,settingsintheProject;,(ii)tocollecttheOWOXBIServicestatistics(whichwillnotincludepersonally,identifiableinformationorinformationthatidentifiesorwouldreasonablybeexpected,toidentifythe C lient);,(iii)toimproveandenhancetheOWOXBIServices(thedataiscollectedin,anonymizedform,e.g.intheformofderivedmetricsandcoefficients),,(iv)toshowcasetheresultsofusingOWOXBIservices,onlyuponprioragreement,withthe C lientandtotheagreedextent;,(v)ifandasrequiredbycourtorder,laworgovernmentalorregulatoryagency(after,,ifpermitted,notifyingthe C lientwithinareasonabletimeandtakingallcommercially,reasonableeffortstoprovidethe C lientwiththeopportunitytoreceiveaprotective,orderoritsequivalentat C lient'sinterestandexpense).,5.Confidentiality,5.1.
C onfidentialityObligations.ThePartymustkeepany C onfidentialInformation,itbecomesawareofstrictlyconfidentialandmustnotwithouttheexpress,priorwrittenconsentoftheotherPartyuseordisclosesuchinformationtoany,thirdparty.,5.2.Usesolelyforthepurpose.ThePartymustonlyuse C onfidentialInformation,ofwhichitbecomesawareoffortheproperandlegitimatepurposesof,carryingouttheServicesandimplementationoftheseTerms(Purpose).,5.3.UponaParty'srequest,allcopiesof C onfidentialInformation(including,copiesinwritten,paperorelectronicform)andanysummariesof C onfidential,InformationwillbepromptlydestroyedorreturnedtotheParty.,5.4.EachPartymaydisclose C onfidentialInformationtoitsRepresentativeswho,intheParty'sreasonablejudgmenthavetheneedtoknowsuchinformationin,connectionwiththePurpose.ThePartywillmaintainrecordsofthepersonsto,whom C onfidentialInformationisdistributed,willinformallsuchpersonsof,theconfidentialnatureofthe C onfidentialInformation,willdirectthemtotreat,suchinformationinaccordancewiththeseTerms,willexercisesuch,measuresasmaybereasonableinthecircumstancestopreventimproper,useof C onfidentialInformationbythem,andwillberesponsibleforany,breachesbythemoftheprovisionsoftheseTerms.,5.5.IntheeventthattheParty(oranyoftheParty'sRepresentatives)are,requestedorrequiredbylaworlegalprocesstodiscloseanyofthe, C onfidentialInformation,thepartyrequiredtodisclosesuchinformationshall,providetheParty,thatistheownerofsuchinformation,withpromptwritten,noticebeforemakinganydisclosure.Inaddition, C onfidentialInformationmay,onlybedisclosed:(i)totheextentrequired,and(ii)thePartywillnotifythe,Party,thatistheownerofsuchinformation,promptlyuponsuchdisclosure.,5.6.ThetermsoftheSectionshallsurviveterminationoftheseTermsforthe5,yearsuponthelastdayofServicesprovisionandinrespecttoanytrade,secrets—foranundefinedperiodoftime.,6.Publicity,6.1.OWOXshallbeentitledtopubliclyrefertothe C lientasauserofthe,Services.
C lientherebygrantsOWOXwithasub-licensable,non-exclusive,,fullypaid,worldwideandlimitedlicensetouseanddisplay C lient'snames,,logos,andtrademarkssolelyforidentifying C lientasaclientofOWOX.,6.2.ThePartiesshallnegotiatethecasestudy,basedontheresultsofthe,Servicessuccessfullyrenderedtothe C lientundertheseTerms.The C lient,hastherightnottodiscloseanyconfidentialinformationrelevanttothe, C lient’sbusinessinthecasestudy.The C lientherebyauthorizestheOWOX,tousethenegotiatedcasestudyinOWOXbusinessactivities.,6.3.TheclientisnotobligedtogivefeedbackontheServices.However,ifthe, C lientgivesfeedbackontheServicesthanOWOXmayusethisfeedbackin,itsbusinessactivitiesforimprovingtheServicesandpublish C lient'sfeedback,formarketingpurposes.,7.Personal data,7.1.ThePartieshereofwarrantthatallpersonaldatatransferredbythePartiesto,eachotherforthepurposeoftheperformanceoftheobligationshereunder,,havebeenreceived,areprocessedandtransferredinfullcompliancewiththe,effectivepersonaldatalegislation(includingreceiptofconsentfromthe,subjectofpersonalinformationtointernationaltransferofinformation,i.e.to,thecountriesthatdonotensureanadequatelevelofprotection).OWOXacts,strictlyasadataintermediaryandprocessor(subprocessor)inprovidingthe,Services.,7.2.EachPartyundertakestoprovidethesamelevelofprotectionofpersonal,datareceivedfromtheotherPartywithintheframeoftheseTerms,asthis,Partyprovidestoitsownpersonaldatabases,butnotlessthanareasonable,levelofprotectionofpersonaldata.,8.Term,8.1.TheseTermsshallbeeffectivefromMay29,2020forthecurrent C lientsand,fromthepublicationdate—forthenew C lients.,8.2.TheseTerms(includingitsfutureversionsandupdates)shallbevalidfora,period,prepaidbythe C lient(InitialTerm),andshallbeautomatically,extendedforthesameperiodorperiods(RenewalTerm)thereafterunless,anduntilanyPartyprovideswrittennoticetotheotherPartyabout,non-renewaloftheTermsforthenextperiodforatleastonemonthbeforethe,expirationoftheprepaidperiod.,9.Termination,9.1.ThePartymayterminatetheseTermsbygivingwrittennoticetotheother,Partyifthefollowingeventsoccur:,9.1.1.iftheotherPartycommitsamaterialfailureintheperformanceofits,obligationsundertheseTerms,thatcannotbecuredorwasnotcured,withinthirty(30)calendardaysafterbeingnotifiedorwithinanyfurther,periodasthePartiesmayhavesubsequentlyapprovedinwriting;,9.1.2.iftheotherPartyinitiatesaproceduretobecomeinsolventorbankrupt,(orequivalent);,9.1.3.iftheotherPartyhasengagedincorruptorfraudulentpracticesin,competingfororinexecutingtheseTerms.,Forthepurposeofthisclause:,“corruptpractice”meanstheoffering,giving,receiving,orsolicitingofanythingof,valuetoinfluencetheactionsofapublicofficialintheselectionprocessorin,agreementexecution.,“fraudulentpractice”meansamisrepresentationoffactsinordertoinfluencea,selectionprocessortheexecutionofanagreementtothedetrimentoftheParty,and,includescollusivepracticeamongtheotherParty(priortooraftersubmissionof,proposals)designedtoestablishpricesatartificialnon-competitivelevelsandto,deprivethePartyofthebenefitsoffreeandopencompetition.,9.2.EarlyunilateralterminationoftheseTermsisnotallowed,unlessotherwise,setupintheseTermsoragreedbythePartiesinwriting.,9.3.UponterminationoftheseTermsforanyreason,the C lientshallpayto,OWOXremunerationpursuantto C lause2forServicessatisfactorily,performeduptotheeffectivedateoftermination,andOWOXstopsthe,provisionofServicesundertheseTerms.,9.4.TheSection4 C lientdata,Section5 C onfidentiality,Section6Publicityand,Section11IntellectualPropertyshallsurvivetheterminationoftheseTerms.,10.Change of terms,10.1.OWOXhastherighttounilaterally:,(1)amendthename,contentandscopeofthePlan;,(2)makechangestotheURLofthelinksspecifiedintheTerms;,(3)modifyorissueupdatestoOWOXBIservicesand/orServices,addnew,propertiesorfunctionalitiesthatincreaseefficiencyorotherwiseimprovethe,characteristicsofOWOXBIservicesand/orServices,includinginorderto,meettherequirementsoftheapplicablelegislation,deactivatesome,deprecatedfeatures;,(4)changethepriceforServicesforthenextprepaymentperiods—bygivingthe, C lientwiththeminimum30-daysadvancenoticetoOWOXBIProject,administrator'semail.,10.2.IfasaresultofachangeinthePricefortheServices,the C lientwishesnotto,usetheServices,itmaynotifyOWOXwithin30-daysperiodafterreceiving,thenoticefromOWOXandtheseTermswillbeconsideredtobeterminated,afterthechangeinthePriceforServicescomesintoeffect.,10.3.Ifthe C lientdoesnotagreewiththedeactivationofdeprecatedfeatureor,features,the C lientshallhavetherighttoterminatetheseTermsinrespectto,theparticularsubstantiallydeprecatedpartoftheServicesbydeliveringa,terminationnoticetoOWOXwithinthirty(30)daysafterthedeactivationof,SubstantialDeprecation.Fortheavoidanceofdoubt,thefollowingsituations,shallbeconsideredasSubstantialDeprecationoftheServices—thefeature,hasbeendeletedorhasbeenreplacedbyalesspowerfulalternativefeature.,Insuchacase,theseTermsareterminatedwithrespecttotheparticularpart,oftheServicesattheendofthethirty(30)dayperiodprovidedforthedelivery,oftheterminationnotice.Incasethepriceisstipulatedinthemannerthatit,cannotbedividedintoparts,thePartiesundertaketonegotiateabout,alternativeservices,thatOWOXcanoffertothe C lientinsteadofthe,substantiallydeprecatedpart.Ifnoterminationnoticeofthe C lientisserved,anddeliveredtoOWOXwithinthethirty(30)daydeadline,the C lientis,deemedtohaveacceptedthedeactivationofdeprecatedfeatureorfeatures.,10.4.OWOXmayfromtimetotimeatitssolediscretionissuenewversionofthese,Terms.Insuchacase,OWOXshallnotifythe C lientontheemailaddressof,OWOXBIProjectadministrator.Ifthe C lientdoesnotagreewithanew,versionoftheseTerms,the C lientshallnotifyOWOXwithin14(fourteen),daysofbeingnotifiedbyOWOXaboutthenewversionoftheseTerms,thatit,doesnotwishtobeboundbythenewversionoftheTerms.Insuchcase,,subjecttoclause10.3,theTermsremaintobegovernedbytheactualversion,oftheseTermsuntiltheendofthecurrentprepaymentperiod.Onceanew,RenewalTermcommences,thenewversionoftheTermscomesintolegal,effectregardlessofanyobjectiongivenbythe C lientagainstthenewversion,oftheTerms.,11.Intellectual property,EachPartyretainsallrights,titleinandtoallitsintellectualpropertyrightsincluding,withoutlimitationgoodwill,copyrightsandmoralrights.Otherthantherightsgranted,herein,nothingintheseTermsshallgranttheotherPartyanyright,titleorinterestinany,oftheParty’sintellectualproperty.,12.Limitation of Liability,12.1.OtherthanasexpresslysetoutintheseTerms,OWOXdoesn’tmakeany,specificpromisesabouttheservicesOWOXprovides.Totheextentpermitted,bylaw,OWOXexcludesallwarranties.,12.2.OWOXdoesnotmakeanycommitmentsaboutthefunctionalityofthe,Services,ortheirreliability,availability,orabilitytomeetthe C lient’sneeds.,OWOXprovidestheservices"asis".,12.3.OWOXwillhavenoliabilityarisingoutoforrelatedtoBetafeatures.,12.4.OWOXshallnotberesponsiblefortheconsequencesofthedecision,made,basedontheServicesprovided.,12.5.IncaseofbreachoftheseTerms,OWOXisliabletothe C lientintheamount,ofactualdirectdamagescaused,limitedto70%ofthelastannualamountof,feesfortheServicespaid(ortobepaid)toOWOXbyvirtueoftheseTerms.,ThePartiesagreethatthisclauserepresentsareasonableallocationofrisks.,12.6.OWOXwillnotberesponsibleforindirectlosses,includinglostprofits,,revenue,data,financiallosses,whetherdirect,orindirect,special,,consequential,exemplary,orpunitivedamages.,13.Subcontracting,The C lientshallnotassign,transfer,charge,sub-contractordealinanyother,mannerwithalloranyofitsrightsorobligationsundertheseTerms.,OWOXmayatanytimeassign,transfer,charge,sub-contractordealinanyother,mannerwithalloranyofitsrightsorobligationsundertheseTerms.,14.Set-off,14.1.The C lientisnotauthorizedtooffsetanyofitsclaimswithanyclaimsof,OWOXnorisitauthorizedtoretainpayments,inanymanner,intendedfor,OWOXregardlessoftheirnatureand/orpurposeofsuchpossibleintention.,14.2.OWOXisauthorizedtooffsetitsclaimswithclaimsofthe C lientifthe C lientis,informedinadvanceofsuchintentionofoffsettingbyOWOXaswellas,providedwiththeidentificationofclaimstowhichtheoffsettingwillapply,their,amountsandtheirduedates.,15.Law and Jurisdiction,15.1.Law.TheseTermswillbegovernedbyandconstruedinaccordancewiththe,lawsof C alifornia,withoutregardtoitsconflict-of-lawsprinciples.,15.2.Jurisdiction.AlldisputesarisingoutoforinconnectionwiththeseTerms,(includingadisputeregardingtheexistence,validityorterminationofthese,Terms)shallbereferredtobeexclusivelyresolvedbythecourtsofLos,Angeles C ounty C aliforniaUSA,andbothPartiesherebyconsenttosuch,jurisdictionforthispurpose.,15.3.Export.TheServicesprovisionisgovernedbyallapplicableexportand,re-exportcontrollawsandregulations,including:(i)theExportAdministration,Regulations(“EAR”)maintainedbytheU.S.Departmentof C ommerce;(ii),tradeandeconomicsanctionsmaintainedbytheU.S.TreasuryDepartment's,OfficeofForeignAssets C ontrol;and(iii)theInternationalTrafficinArms,Regulations(“ITAR”)maintainedbytheU.S.DepartmentofState.,16.Force-majeure,16.1.EitherPartyshallnotbeheldliablefornon-performanceorundue,performanceoftheobligationsundertheseTerms,shoulditbecausedby,suchcircumstancesasafire,flood,hostilities,anycomputer,communication,,Internet,hostingfailuresand/ordelaysassociatedwithequipment,software,,powersupplyorothersystemsthatarebeyondthereasonablecontrolofthe,Party,orcybercrimes,hackerandvirusattacks,restrictionsorprohibitive,measuresofthestateorstatebodies,theprohibitionoftradeandother,operations,includingwithindividualcountries,duetotheadoptionof,internationalsanctions,andothercircumstancesbeyondthecontrolofthe,PartiesinterferingtheperformanceoftheseTerms.,16.2.Shouldsuchcircumstancescontinueformorethan30calendardays,either,Partyshallhavetherighttoterminatethefurtherperformanceofthe,obligationsunderthisTerms.,16.3.Partiesagreedtoinformeachotherinwritingabouttheoccurrenceof,circumstancesbeyondtheParty'scontrolandabouttheprobabledateof,terminationofsuchcircumstances.,17.The Entirety of the Terms,TheseTermstheretoconstitutetheentireagreementbetweenthePartieswith,respecttotheServicestobeprovidedpursuanttotheTermsandsupersedeallprior,negotiations,understandingsoragreements(oralorwritten),betweentheParties,concerningitssubjectmatter.,18.
Waiver,ThefailureofeitherPartytoenforceitsrightsundertheseTermsatanytimeforany,periodwillnotbeconstruedasawaiverofsuchrights.,19.Severability,IntheeventthatanyprovisionoftheseTermswillbe,foranyreason,determinedby,anycourtofcompetentjurisdictiontobeinvalid,illegalorunenforceableinany,respect,suchinvalidity,illegalityorunenforceabilitywillbeinterpretedascloselyas,possiblesoastonotaffectanyotherprovisionoftheseTerms,andsuchprovision,willfurtherbemodifiedbysaidcourttopermititsenforcementtothemaximumextent,permittedbylaw.,20.Language,IftheseTermsaretranslatedtoanyotherlanguageandtherearediscrepancies,betweenEnglishversionandthetranslatedversion,theEnglishversionofthe,Termsshallprevail.
