ustomer’s,acceptingthisAgreement(the“EffectiveDate”).,1.DEFINITIONS,“Affiliate”meansanyentitythatdirectlyorindirectlycontrols,iscontrolledby,orisundercommoncontrolwiththesubject,entity.“ C ontrol,”forpurposesofthisdefinition,meansdirectorindirectownershiporcontrolofmorethan50%ofthevoting,interestsofthesubjectentity.,“Agreement”meansthisMainServicesAgreement.,“BetaServices”meansSFD C C Application”meansWeb-based,mobile,offlineorothersoftwarefunctionalitythatinteroperateswithaService,,thatisprovidedby C ustomerorathirdpartyand/orlistedonaMarketplaceincludingasSalesforceLabsorundersimilar,designation.Non-SFD C Applications,otherthanthoseobtainedorprovidedby C ustomer,willbeidentifiableassuch.,“OrderForm”meansanorderingdocumentoronlineorderspecifyingtheServicestobeprovidedhereunderthatisentered,intobetween C ustomerandSFD C oranyoftheirAffiliates,includinganyaddendaandsupplementsthereto.Byenteringinto,anOrderFormhereunder,anAffiliateagreestobeboundbythetermsofthisAgreementasifitwereanoriginalpartyhereto.,“PurchasedServices”meansServicesthat C ustomeror C ustomer’sAffiliatepurchasesunderanOrderFormoronline,purchasingportal,asdistinguishedfromFreeServicesorthoseprovidedpursuanttoafreetrial.,“Services”meanstheproductsandservicesthatareorderedby C ustomerunderanOrderFormoronlinepurchasingportal,or,providedto C ustomerfreeofcharge(asapplicable)orunderafreetrial,andmadeavailableonlinebySFD C ,including,associatedSFD C offlineormobilecomponents,asdescribedintheDocumentation.“Services”exclude C ontentand,Non-SFD C Applications.,“SFD C ”meanstheSalesforcecompanydescribedinthe“SFD C C ontractingEntity,Notices, G ustomer,andthirdpartieswithwhich C ustomertransactsbusiness.,2.SFD C RESPONSIBILITIES,2.1ProvisionofPurchasedServices.SFD C will(a)maketheServicesand C ontentavailableto C ustomerpursuanttothis,Agreement,andtheapplicableOrderFormsandDocumentation,(b)provideapplicableSFD C standardsupportforthe,PurchasedServicesto C ustomeratnoadditionalcharge,and/orupgradedsupportifpurchased,(c)usecommerciallyreasonable,effortstomaketheonlinePurchasedServicesavailable24hoursaday,7daysaweek,exceptfor:(i)planneddowntime(of,whichSFD C shallgiveadvanceelectronicnotice),and(ii)anyunavailabilitycausedbycircumstancesbeyondSFD C ’s,reasonablecontrol,including,forexample,anactof G od,actofgovernment,flood,fire,earthquake,civilunrest,actofterror,,strikeorotherlaborproblem(otherthanoneinvolvingSFD C employees),Internetserviceproviderfailureordelay,Non-SFD C ,Application,ordenialofserviceattack,and(d)providetheServicesinaccordancewithlawsandgovernmentregulations,applicabletoSFD C ’sprovisionofitsServicestoitscustomersgenerally(i.e.,withoutregardfor C ustomer’sparticularuseof,theServices),andsubjectto C ustomer’sandUsers’useoftheServicesinaccordancewiththisAgreement,theDocumentation,andtheapplicableOrderForm.,2.2Protectionof C ustomerData.SFD C willmaintainappropriateadministrative,physical,andtechnicalsafeguardsfor,protectionofthesecurity,confidentialityandintegrityof C ustomerData,asdescribedintheDocumentation.Thosesafeguards,willinclude,butwillnotbelimitedto,measuresdesignedtopreventunauthorizedaccesstoordisclosureof C ustomerData,(otherthanby C ustomerorUsers).Thetermsofthedataprocessingaddendumat,https://www.salesforce.com/company/legal/agreements/(“DPA”)postedasoftheEffectiveDateareherebyincorporatedby,reference.TotheextentPersonalDatafromtheEuropeanEconomicArea(EEA),theUnitedKingdomandSwitzerlandare,processedbySFD C ,itsProcessorBinding C orporateRules,,and/ortheStandard C ontractual C lausesshallapply,asfurtherset,forthintheDPA.ForthepurposesoftheStandard C ontractual C lauses, C ustomeranditsapplicableAffiliatesareeachthedata,exporter,and C ustomer'sacceptanceofthisAgreement,andanapplicableAffiliate'sexecutionofanOrderForm,shallbe,treatedasitsexecutionoftheStandard C ontractual C lausesandAppendices.Uponrequestby C ustomermadewithin30days,aftertheeffectivedateofterminationorexpirationofthisAgreement,SFD C willmake C ustomerDataavailableto C C ustomeragreesthat,SFD C ,initssolediscretionandforanyornoreason,mayterminate C ustomer’saccesstotheFreeServicesoranypartthereof., C ustomeragreesthatanyterminationof C ustomer’saccesstotheFreeServicesmaybewithoutpriornotice,and C ustomer,agreesthatSFD C willnotbeliableto C ustomeroranythirdpartyforsuchtermination.

C ustomeragreesthatits,purchasesarenotcontingentonthedeliveryofanyfuturefunctionalityorfeatures,ordependentonanyoralorwrittenpublic,commentsmadebySFD C regardingfuturefunctionalityorfeatures.,3.2UsageLimits.Servicesand C ontentaresubjecttousagelimitsspecifiedinOrderFormsandDocumentation.If C ustomer,exceedsacontractualusagelimit,SFD C mayworkwith C ustomertoseektoreduce C ustomer’susagesothatitconformsto,thatlimit.If,notwithstandingSFD C ’sefforts, C ustomerisunableorunwillingtoabidebyacontractualusagelimit, C ustomer,willexecuteanOrderFormforadditionalquantitiesoftheapplicableServicesor C ontentpromptlyuponSFD C ’srequest,,and/orpayanyinvoiceforexcessusageinaccordancewiththe“InvoicingandPayment”sectionbelow.,3.3 C ustomerResponsibilities.
C ustomerwill(a)beresponsibleforUsers’compliancewiththisAgreement,Documentationand,OrderForms,(b)beresponsiblefortheaccuracy,qualityandlegalityof C ustomerData,themeansbywhich C ustomeracquired, C ustomerData, C ustomer’suseof C ustomerDatawiththeServices,andtheinteroperationofanyNon-SFD C Applications,withwhich C ustomerusesServicesor C ontent,(c)usecommerciallyreasonableeffortstopreventunauthorizedaccesstooruse,ofServicesand C ontent,andnotifySFD C promptlyofanysuchunauthorizedaccessoruse,(d)useServicesand C ontentonly,inaccordancewiththisAgreement,Documentation,theAcceptableUseandExternalFacingServicesPolicyat,https://www.salesforce.com/company/legal/agreements/,OrderFormsandapplicablelawsandgovernmentregulations,and(e),complywithtermsofserviceofanyNon-SFD C Applicationswithwhich C ustomerusesServicesor C ontent.Anyuseofthe,Servicesinbreachoftheforegoingby C ustomerorUsersthatinSFD C ’sjudgmentthreatensthesecurity,integrityor,availabilityofSFD C ’sservices,mayresultinSFD C ’simmediatesuspensionoftheServices,howeverSFD C willuse,commerciallyreasonableeffortsunderthecircumstancestoprovide C ustomerwithnoticeandanopportunitytoremedysuch,violationorthreatpriortoanysuchsuspension.,3.4UsageRestrictions.

C ustomerwillpayallfeesspecifiedinOrderForms.ExceptasotherwisespecifiedhereinorinanOrderForm,(i)fees,arebasedonServicesand C ontentsubscriptionspurchasedandnotactualusage,(ii)paymentobligationsarenon-cancelable,andfeespaidarenon-refundable,and(iii)quantitiespurchasedcannotbedecreasedduringtherelevantsubscriptionterm.,5.2InvoicingandPayment.
C ustomerwillprovideSFD C withvalidandupdatedcreditcardinformation,orwithavalidpurchase,orderoralternativedocumentreasonablyacceptabletoSFD C .If C ustomerprovidescreditcardinformationtoSFD C ,, C ustomerauthorizesSFD C tochargesuchcreditcardforallPurchasedServiceslistedintheOrderFormfortheinitial,subscriptiontermandanyrenewalsubscriptionterm(s)assetforthinthe“TermofPurchasedSubscriptions”sectionbelow.,Suchchargesshallbemadeinadvance,eitherannuallyorinaccordancewithanydifferentbillingfrequencystatedinthe,applicableOrderForm.IftheOrderFormspecifiesthatpaymentwillbebyamethodotherthanacreditcard,SFD C will,invoice C ustomerinadvanceandotherwiseinaccordancewiththerelevantOrderForm.UnlessotherwisestatedintheOrder,Form,invoicedfeesareduenet30daysfromtheinvoicedate.
C ustomerisresponsibleforprovidingcompleteandaccurate,billingandcontactinformationtoSFD C andnotifyingSFD C ofanychangestosuchinformation.,5.3Overdue C harges.IfanyinvoicedamountisnotreceivedbySFD C bytheduedate,thenwithoutlimitingSFD C ’srightsor,remedies,(a)thosechargesmayaccruelateinterestattherateof1.5%oftheoutstandingbalancepermonth,orthemaximum,ratepermittedbylaw,whicheverislower,and/or(b)SFD C mayconditionfuturesubscriptionrenewalsandOrderFormson,paymenttermsshorterthanthosespecifiedinthe“InvoicingandPayment”sectionabove.,5.4SuspensionofServiceandAcceleration.Ifanychargeowingby C ustomerunderthisoranyotheragreementforservicesis,30daysormoreoverdue,(or10ormoredaysoverdueinthecaseofamounts C ustomerhasauthorizedSFD C tochargeto, C ustomer’screditcard),SFD C may,withoutlimitingitsotherrightsandremedies,accelerate C ustomer’sunpaidfee,obligationsundersuchagreementssothatallsuchobligationsbecomeimmediatelydueandpayable,andsuspendServicesuntil,suchamountsarepaidinfull,providedthat,otherthanforcustomerspayingbycreditcardordirectdebitwhosepaymenthas,beendeclined,SFD C willgive C ustomeratleast10days’priornoticethatitsaccountisoverdue,inaccordancewiththe,“Mannerof G ivingNotice”sectionbelowforbillingnotices,beforesuspendingservicesto C ustomer.,SFD C -MSA,December19,2022Page5of16,5.5PaymentDisputes.SFD C willnotexerciseitsrightsunderthe“Overdue C harges”or“SuspensionofServiceand,Acceleration”sectionaboveif C ustomerisdisputingtheapplicablechargesreasonablyandingoodfaithandiscooperating,diligentlytoresolvethedispute.,5.6Taxes.SFD C 'sfeesdonotincludeanytaxes,levies,dutiesorsimilargovernmentalassessmentsofanynature,including,for,example,value-added,sales,useorwithholdingtaxes,assessablebyanyjurisdictionwhatsoever(collectively,“Taxes”)., C ustomerisresponsibleforpayingallTaxesassociatedwithitspurchaseshereunder.IfSFD C hasthelegalobligationtopayor,collectTaxesforwhich C ustomerisresponsibleunderthissection,SFD C willinvoice C ustomerand C ustomerwillpaythat,amountunless C ustomerprovidesSFD C withavalidtaxexemptioncertificateauthorizedbytheappropriatetaxingauthority.,Forclarity,SFD C issolelyresponsiblefortaxesassessableagainstitbasedonitsincome,propertyandemployees.,6.PROPRIETARYRI G HTSANDLI C ENSES,6.1ReservationofRights.Subjecttothelimitedrightsexpresslygrantedhereunder,SFD C ,itsAffiliates,itslicensorsand C ontent,Providersreservealloftheirright,titleandinterestinandtotheServicesand C ontent,includingalloftheirrelatedintellectual,propertyrights.Norightsaregrantedto C ustomerhereunderotherthanasexpresslysetforthherein.,6.2AccesstoandUseof C ontent.

C ustomergrantsSFD C ,itsAffiliatesandapplicablecontractorsaworldwide,limited-term,licensetohost,copy,use,transmit,anddisplayanyNon-SFD C Applicationsandprogramcodecreatedbyorfor C ustomer,usingaServiceorforuseby C ustomerwiththeServices,and C ustomerData,eachasappropriateforSFD C toprovideand,ensureproperoperationoftheServicesandassociatedsystemsinaccordancewiththisAgreement.If C ustomerchoosestouse,aNon-SFD C ApplicationwithaService, C ustomergrantsSFD C permissiontoallowtheNon-SFD C Applicationandits,providertoaccess C ustomerDataandinformationabout C ustomer’susageoftheNon-SFD C Applicationasappropriateforthe,interoperationofthatNon-SFD C ApplicationwiththeService.Subjecttothelimitedlicensesgrantedherein,SFD C acquiresno,right,titleorinterestfrom C ustomeroritslicensorsunderthisAgreementinortoany C ustomerData,Non-SFD C Application,orsuchprogramcode.,6.4Licenseby C ustomertoUseFeedback.
C ustomergrantstoSFD C anditsAffiliatesaworldwide,perpetual,irrevocable,,royalty-freelicensetouse,distribute,disclose,andmakeandincorporateintoitsservicesanysuggestion,enhancementrequest,,recommendation,correctionorotherfeedbackprovidedby C ustomerorUsersrelatingtotheoperationofSFD C ’sorits,Affiliates’services.,6.5Federal G overnmentEndUseProvisions.SFD C providestheServices,includingrelatedsoftwareandtechnology,for,ultimatefederalgovernmentenduseinaccordancewiththefollowing:TheServicesconsistof“commercialitems,”asdefined,atFAR2.101.InaccordancewithFAR12.211-12.212andDFARS227.7102-4and227.7202-4,asapplicable,therightsofthe,U.S.
G overnmenttouse,modify,reproduce,release,perform,display,ordisclosecommercialcomputersoftware,commercial,computersoftwaredocumentation,andtechnicaldatafurnishedinconnectionwiththeServicesshallbeasprovidedinthis,Agreement,exceptthat,forU.S.DepartmentofDefenseendusers,technicaldatacustomarilyprovidedtothepublicis,furnishedinaccordancewithDFARS252.227-7015.Ifagovernmentagencyneedsadditionalrights,itmustnegotiatea,mutuallyacceptablewrittenaddendumtothisAgreementspecificallygrantingthoserights.,7.
C ONFIDENTIALITY,7.1Definitionof C onfidentialInformation.“ C onfidentialInformation”meansallinformationdisclosedbyaparty(“Disclosing,Party”)totheotherparty(“ReceivingParty”),whetherorallyorinwriting,thatisdesignatedasconfidentialorthatreasonably,shouldbeunderstoodtobeconfidentialgiventhenatureoftheinformationandthecircumstancesofdisclosure.
C onfidential,Informationof C ustomerincludes C ustomerData.
C onfidentialInformationofSFD C includestheServicesand C ontent,and,thetermsandconditionsofthisAgreementandallOrderForms(includingpricing).
C onfidentialInformationofeachparty,includesbusinessandmarketingplans,technologyandtechnicalinformation,productplansanddesigns,andbusiness,processesdisclosedbysuchparty.However, C onfidentialInformationdoesnotincludeanyinformationthat(i)isorbecomes,generallyknowntothepublicwithoutbreachofanyobligationowedtotheDisclosingParty,(ii)wasknowntotheReceiving,PartypriortoitsdisclosurebytheDisclosingPartywithoutbreachofanyobligationowedtotheDisclosingParty,(iii)is,receivedfromathirdpartywithoutknowledgeofanybreachofanyobligationowedtotheDisclosingParty,or(iv)was,independentlydevelopedbytheReceivingParty.Fortheavoidanceofdoubt,thenon-disclosureobligationssetforthinthis,“ onfidentialInformationofthe,DisclosingPartyforanypurposeoutsidethescopeofthisAgreementand(ii)exceptasotherwiseauthorizedbytheDisclosing,Partyinwriting,limitaccessto C G ENERALPROVISIONS,12.1Export C ompliance.TheServices, C ontent,otherSFD C technology,andderivativesthereofmaybesubjecttoexportlawsand,regulationsoftheUnitedStatesandotherjurisdictions.SFD C and C ustomereachrepresentsthatitisnotonanyU.S.,governmentdenied-partylist.
C ustomerwillnotpermitanyUsertoaccessoruseanyServiceor C ontentinaU.S.-embargoed,countryorregion(currentlythe C rimea,LuhanskorDonetskregions, C uba,Iran,NorthKorea,orSyria)orasmaybeupdated,fromtimetotimeathttps://www.salesforce.com/company/legal/compliance/orinviolationofanyU.S.exportlawor,regulation.,12.2Anti- C orruption.Neitherpartyhasreceivedorbeenofferedanyillegalorimproperbribe,kickback,payment,gift,orthingof,valuefromanemployeeoragentoftheotherpartyinconnectionwiththisAgreement.Reasonablegiftsandentertainment,providedintheordinarycourseofbusinessdonotviolatetheaboverestriction.,12.3EntireAgreementandOrderofPrecedence.ThisAgreementistheentireagreementbetweenSFD C and C ustomerregarding, C ustomer’suseofServicesand C ontentandsupersedesallpriorandcontemporaneousagreements,proposalsor,representations,writtenororal,concerningitssubjectmatter.Thepartiesagreethatanytermorconditionstatedina C ustomer,purchaseorderorinanyother C C ustomershallreportanydeviationoftheServicesfromthe“AgreedQualityoftheServices”,section(“Defect”)toSFD C inwritingwithoutunduedelayandshallsubmitadetaileddescriptionoftheDefector,ifnot,possible,ofthesymptomsoftheDefect.
C ustomershallforwardtoSFD C anyusefulinformationavailableto C ustomerfor,rectificationoftheDefect.,8.4RemediesResultingfromDefects.SFD C shallrectifyanyDefectwithinareasonableperiodoftime.Ifsuchrectification,fails, C ustomermayterminatetherespectiveOrderFormprovidedthatSFD C hadenoughtimeforcuringtheDefect.Inthe,“RefundorPaymentuponTermination”section,sentence1andsentence3shallapplyaccordingly.IfSFD C isresponsiblefor,theDefectorifSFD C isindefaultwiththerectification, C ustomermayassertclaimsforthedamagecausedinthescope,specifiedinthe“LimitationofLiability”sectionbelow.,8.5DefectsinTitle.DefectsintitleoftheServicesshallbehandledinaccordancewiththeprovisionsof C lause9“Mutual,Indemnification”.,8.6Exclusions.
C ustomershallhavenoclaimsunderthis C lause8“Warranty”ifaDefectwascausedbytheServicesnotbeing,usedby C ustomerinaccordancewiththeprovisionsofthisAgreement,theDocumentationandtheapplicableOrderForms.,9.3LiabilityresultingfromIndemnificationfor C ustomersdomiciledin G ermany.Thebelow“LimitationofLiability”,sectionshallapplytoanyclaimsresultingfromthis“MutualIndemnification”section.,10.LIMITATIONOFLIABILITYFOR C USTOMERSDOMI C ILEDIN G ERMANY,10.1UnlimitedLiability.ThePartiesshallbemutuallyliablewithoutlimitation,(a)intheeventofwillfulmisconductorgrossnegligence,,(b)withinthescopeofaguaranteetakenoverbytherespectiveparty,,(c)intheeventthatadefectismaliciouslyconcealed,,(d)incaseofaninjurytolife,bodyorhealth,,(e)accordingtothe G ermanProductLiabilityLaw.,10.2LiabilityforBreachof C ardinalDuties.Ifcardinaldutiesareinfringedduetoslightnegligenceandif,asaconsequence,,theachievementoftheobjectiveofthisAgreementincludinganyapplicableOrderFormisendangered,orinthecaseofa,slightlynegligentfailuretocomplywithduties,theverydischargeofwhichisanessentialprerequisitefortheproper,performanceofthisAgreement(includinganyapplicableOrderForm),theparties’liabilityshallbelimitedtoforeseeable,damagetypicalforthecontract.Inallotherrespects,anyliabilityfordamagecausedbyslightnegligenceshallbeexcluded.,10.3Liability C ap.Unlessthepartiesareliableinaccordancewith“UnlimitedLiability”sectionabove,innoeventshallthe,aggregateliabilityofeachpartytogetherwithallofitsAffiliatesarisingoutoforrelatedtothisAgreementexceedthetotal,amountpaidby C ustomeranditsAffiliateshereunderfortheServicesgivingrisetotheliabilityinthe12monthsprecedingthe,firstincidentoutofwhichtheliabilityarose.Theforegoinglimitationwillnotlimit C ustomer’sanditsAffiliates’payment,obligationsunderthe“FeesandPayment”sectionabove.,10.4Scope.Withtheexceptionofliabilityinaccordancewiththe“UnlimitedLiability”section,theabovelimitationsof,liabilityshallapplytoallclaimsfordamages,irrespectiveofthelegalbasisincludingclaimsfortortdamages.Theabove,limitationsofliabilityalsoapplyinthecaseofclaimsforaparty’sdamagesagainsttherespectiveotherparty’semployees,,agentsorbodies.,12.14LocalLawRequirements:Italy.Withrespectto C ustomersdomiciledinItaly,Section5.2“InvoicingandPayment”,Section,5.3“Overdue C harges”,Section5.4“SuspensionofServiceandAcceleration”,andSection12.2“Anti C orruption”ofthis,Agreementarereplacedwiththefollowingsectionsrespectively:,5.2.InvoicingandPayment,5.2.1InvoicingandPayment.FeeswillbeinvoicedinadvanceandotherwiseinaccordancewiththerelevantOrderForm.,UnlessotherwisestatedintheOrderForm,feesareduenet30daysfromtheinvoicedate.Thepartiesacknowledgethat,invoicesarealsobesubmittedelectronicallybySFD C inaccordancewiththe“ElectronicInvoicing”sectionbelowthroughthe,AgenziadelleEntrate’sExchangeSystem(SDI–SistemadiInterscambio)andanydelayduetotheSDIshallnotaffectthe,SFD C -MSA,December19,2022Page13of16,foregoingpaymentterm.
C ustomershallberesponsibleforprovidingcompleteandaccuratebillingandcontactinformationto,SFD C andshallnotifySFD C ofanychangestosuchinformation.,5.2.2ElectronicInvoicing.Theinvoicewillbeissuedinelectronicformatasdefinedinarticle1,paragraph916,ofLawno.,205ofDecember27,2017,whichintroducedtheobligationofelectronicinvoicing,startingfromJanuary1,2019,forthesale,ofgoodsandservicesperformedbetweenresidents,establishedoridentifiedintheterritoryoftheItalianState.Tofacilitate,suchelectronicinvoicing, C ustomershallprovidetoSFD C atleastthefollowinginformationinwriting: C ustomerfull,registeredcompanyname,registeredofficeaddress,VATnumber,tax/fiscalcodeandanyadditionalcodeand/orrelevant,informationrequiredunderapplicablelaw.Inanyevent,thepartiesshallcooperatediligentlytoenablesuchelectronic,invoicingprocess.Anyerrorduetotheprovisionby C ustomerofincorrectorinsufficientinvoicinginformationpreventing(a),SFD C tosuccessfullysubmittheelectronicinvoicetotheSDIor(b)theSDItodulyandeffectivelyprocesssuchinvoiceor(c),which,inanyevent,requiresSFD C toissueaninvoiceagain,shallnotresultinanextensionofthepaymenttermsetoutinthe,“InvoicingandPayment”sectionabove,andsuchtermshallstillbecalculatedfromthedateoftheoriginalinvoice.SFD C ,reservestherighttoprovideanyinvoicecopyinelectronicformviaemailinadditiontotheelectronicinvoicingdescribed,herein.,5.2.3SplitPayment.Ifsubjecttothe“splitpayment”regime, C ustomershallbeexclusivelyresponsibleforpaymentofany,VATamountdue,providedthat C ustomershallconfirmtoSFD C theapplicabilityofsuchregimeand,ifapplicable, C ustomer,shallprovideproofofsuchVATpaymenttoSFD C and,ifapplicable, C ustomershallprovideproofofsuchVATpaymentto,SFD C .,5.3Overdue C harges.Subjecttothe“PaymentDisputes”sectionbelow,ifanyinvoicedamountisnotreceivedbySFD C by,theduedate,thenwithoutlimitingSFD C ’srightsorremedies,thosecharges,withouttheneedfornoticeofdefault,mayaccrue,lateinterestattherateof1.5%oftheoutstandingbalancepermonth,orthemaximumratepermittedbylaw(Legislative,Decreeno.231/2002),whicheverislowerand/or(b)SFD C mayconditionfuturesubscriptionrenewalsandOrderFormson,paymenttermsshorterthanthosespecifiedinthe“InvoicingandPayment”sectionabove.,5.4.SuspensionofService.Subjecttothe“PaymentDisputes”sectionbelow,ifanychargeowingby C ustomerunderthisor,anyotheragreementforservicesis30daysormoreoverdue,(or10ormoredaysoverdueinthecaseofamounts C ustomerhas,authorizedSFD C tochargeto C ustomer’screditcard),SFD C may,withoutlimitingitsotherrightsandremedies,suspend,Servicesuntilsuchamountsarepaidinfull,providedthat,otherthanforcustomerspayingbycreditcardordirectdebitwhose,paymenthasbeendeclined,SFD C willgive C ustomeratleast10days’priornoticethatitsaccountisoverdue,inaccordance,withthe“Mannerof G ivingNotice”sectionbelowforbillingnotices,beforesuspendingservicesto C ustomer.,12.2Anti- C orruption.,12.2.1Anti- C orruption.Neitherpartyhasreceivedorbeenofferedanyillegalorimproperbribe,kickback,payment,gift,or,thingofvaluefromanemployeeoragentoftheotherpartyinconnectionwiththisAgreement.Reasonablegiftsand,entertainmentprovidedintheordinarycourseofbusinessdonotviolatetheaboverestriction.,12.2.2 C odeof C onductandOrganization,Managementand C ontrolModel.

C ustomeralsoacknowledgesandagreesthattheviolationoftheprinciplesandtheprovisionscontainedinLegislative,Decree231/2001andintheSFD C C odeof C onductby C ustomermayentitleSFD C ,basedontheseverityoftheviolation,to,terminatethisAgreementforcauseassetoutinSection11.3(i)above.,12.15LocalLawRequirements:Spain.Withrespectto C ustomersdomiciledinSpain,intheeventofanyconflictbetweenany,statutorylawinSpainapplicableto C ustomer,andthetermsandconditionsofthisAgreement,theapplicablestatutorylaw,shallprevail.,12.16LocalLawRequirements:India.Withrespectto C ustomersdomiciledinIndia,thefollowingshallapply:,12.16.1VenueandArbitration,A.Subjecttothe“Arbitration”Sectionbelow,thecourtslocatedinBangalore,Indiashallhaveexclusivejurisdictionoverany,disputerelatingtothisAgreement,andeachpartyherebyconsentstotheexclusivejurisdictionofsuchcourts.Without,SFD C -MSA,December19,2022Page14of16,prejudicetothegeneralityoftheforegoing,thecourtsatBengaluru,Indiashallhaveexclusivejurisdictiononmattersarising,from,relatingto,orinconnectionwithanawardmadeunderthe“Arbitration”Sectionbelow.,B.Arbitration.Intheeventofanydispute,controversyorclaimbetweenthePartiesheretoarisingoutoforrelatingtothis,Agreement,thePartiesshallfirstseektoresolvethedisputeingoodfaiththroughinformaldiscussion.Ifsuchdispute,,controversy,orclaimcannotberesolvedinformallywithinaperiodof10(ten)businessdaysfromthedateonwhichthe,disputearose,thePartiesagreethatitshallbesettledbybindingarbitrationtobeheldbeforeapanelconsistingof3(three,arbitrators),whereeachPartyshallappointanarbitratorandsucharbitratorsshallappointthethirdandpresidingarbitrator.,Thearbitrationshallbeconductedinaccordancewithprovisionsofthe(Indian)Arbitrationand C onciliationAct,1996,as,amendedfromtimetotime(ArbitrationAct).TheseatandvenueofthearbitrationshallbeBangalore,India.Thelanguageof,thearbitrationshallbeEnglish.ThePartiesagreethatanyofthemmayseekinterimmeasuresundersection9ofthe,ArbitrationAct,includinginjunctivereliefinrelationtotheprovisionsofthisAgreementortheParties'performanceofit,fromcourtsinBengaluru,India,withoutprejudicetoanyotherrightthePartiesmayhaveundertheArbitrationActandother,applicablelaws.Thearbitrationpanel'sdecisionshallbefinal,conclusiveandbindingonthepartiestothearbitration.The,Partiesshalleachpayone-halfofthecostsandexpensesofsucharbitration,andeachshallseparatelypayitsrespective,counselfeesandexpenses.TheprevailingPartymay,inthejudgementofthearbitrationpanel,beentitledtorecoveritsfees,andexpenses.Alldisputeresolutionproceedings,allmatterspertainingtosuchproceedingsandalldocumentsand,submissionsmadepursuanttheretoshallbestrictlyconfidentialandsubjecttotheprovisionsof“ C onfidentiality”Sectionof,thisAgreement.,12.16.2Section5.2“InvoicingandPayment”ofthisAgreementisreplacedwiththefollowingsection:,5.2InvoicingandPayment,5.2.1InvoicingandPayment.UnlessotherwisestatedintheOrderForm,invoicedfeesareduenet30daysfromtheinvoice,date.
C ustomerisresponsibleforprovidingcompleteandaccuratebillingandcontactinformationtoSFD C andnotifying,SFD C ofanychangestosuchinformation.Thepartiesacknowledgethatinvoicesarealsotobesubmittedelectronicallyby,SFD C inaccordancewiththe“ElectronicInvoicing”sectionbelowthroughthe G overnmentofIndia’se-invoicingsystem,(“ G STPortal”)andanydelayduetosuchsubmissionshallnotaffecttheforegoingpaymentterm.
C ustomershallbe,responsibleforprovidingcompleteandaccuratebillingandcontactinformationtoSFD C andshallnotifySFD C ofany,changestosuchinformation.,5.2.2ElectronicInvoicing.
C ustomershallprovidetoSFD C atleastthefollowinginformationinwritingtofacilitate,electronicinvoicing: C ustomersfullregisteredcompany/legalentityname,registeredofficeaddress,goodsandservicestax,identificationnumber,addressand/orrelevantinformationrequiredunderapplicablelaw.Inanyevent,thepartiesshall,cooperatediligentlytoenablesuchelectronicinvoicingprocess.Anyerror/delayinissuanceoftheelectronicinvoicedueto:,(a)theprovisionby C ustomerofincorrectorinsufficientinvoicinginformationpreventingSFD C fromsuccessfully,submittingtheelectronicinvoicetothe G STPortal;or(b)the G STPortaland/oranyothergovernmentauthority(ortheir,designatedagent/agency)notbeingabletodulyandeffectivelyprocesssuchinvoice;or(c)anyeventwhichrequiresSFD C ,toissueaninvoiceagain;shallnotresultinanextensionofthepaymenttermsetoutinthe“InvoicingandPayment”section,above,andsuchtermshallstillbecalculatedfromthedateoftheoriginalinvoice.SFD C reservestherighttoprovideany,invoicecopyinelectronicformviaemailinadditiontotheelectronicinvoicingdescribedherein.,12.17LocalLawRequirements:UnitedKingdom.Withrespectto C ustomersdomiciledintheUnitedKingdom,Section,12.3“EntireAgreementandOrderofPrecedence”ofthisAgreementisreplacedwiththefollowingsection:,12.3EntireAgreementandOrderofPrecedence.ThisAgreementistheentireagreementbetweenSFD C and, C ustomerregarding C ustomer’suseofServicesand C ontentandsupersedesallpriorandcontemporaneous,agreements,proposalsorrepresentations,writtenororal,concerningitssubjectmatter.Norepresentation,,undertakingorpromiseshallbetakentohavebeengivenorbeimpliedfromanythingsaidorwritteninnegotiations,betweenthepartiespriortothisAgreementexceptasexpresslystatedinthisAgreement.Neitherpartyshallhave,anyremedyinrespectofanyuntruestatementmadebytheotheruponwhichthatpartyreliedinenteringthis,Agreement(unlesssuchuntruestatementwasmadefraudulently)andthatparty'sonlyremediesshallbeforbreachof,SFD C -MSA,December19,2022Page15of16,contractasprovidedinthisAgreement.Thepartiesagreethatanytermorconditionstatedina C ustomerpurchase,orderorinanyother C ustomerorderdocumentation(excludingOrderForms)isvoid.Intheeventofanyconflictor,inconsistencyamongthefollowingdocuments,theorderofprecedenceshallbe:(1)theapplicableOrderForm,(2),thisAgreement,and(3)theDocumentation.TitlesandheadingsofsectionsofthisAgreementareforconvenience,onlyandshallnotaffecttheconstructionofanyprovisionofthisAgreement.,SFD C -MSA,December19,2022Page16of16
