pose,exceptasdescribedintheseTermsofUse;(c)frametheApp,placepop-upwindowsoveritspages,or,otherwiseaffectthedisplayoftheApp;or(d)interferewithordisrupttheserversornetworksconnected,totheApp,ortodisobeyanyrequirements,procedures,policiesorregulationsofnetworksconnectedto,theApp.,•YouwillnotusetheAppforanymaliciousactivity,asdeterminedbyDisczinitssoleandabsolute,discretion.,•YouwillnotusetheAppinamannerthat:(a)involvesspamorfakeengagement;(b)artificially,collectslikes,followers,orshares,postsrepetitivecommentsorcontent,(c)repeatedlycontactsusersfor,commercialpurposesor(d)offersmoneyorgiveawaysofmoneyinexchangeforlikes,followers,,commentsorotherengagement.,•YouwillnotusetheAppto:(a)depict,promote,orenablebullyingorharassmentofanykind;(b),depict,promote,orenableviolence,suffering,suicide,orself-harm;(c)featurenudity,pornography,or,sexuallyexplicitcontent;(d)featureexcessivelyvulgar,profane,oroffensivelanguage;or(e)tobuyorsell,regulatedgoods.,8.POINTS,Youmaybepermittedtoearnpoints(“Points”)byengagingincertainactivitiesonorthroughtheApp.To,earnPoints,youmustbeloggedintoyourDisczAccount.Asyouengagewithcertaincontentandperform,certainactivitiesthroughourApp,including,withoutlimitation,creatingandpostingplaylists,youwill,earnPointsforeachqualifiedactivity(each,a“QualifiedActivity”).AlistofQualifyingActivities,and,thenumberofPointsthatyoucanearnforengagingineachsuchQualifyingActivity,canbefoundonthe,App,andmaybemodifiedbyDisczfromtimetotimewithoutnotice.,ThenumberofPointsforeachQualifiedActivitymayvaryasdeterminedbyDisczinitssolediscretion.,Inaddition,wemayplacelimitationsonhowoftenand/orhowmanytotalPointsyoucanearnby,completinganyparticularQualifiedActivity.,ItisyourresponsibilitytomonitoryourDisczAccountandPointbalance.YoumayviewyourPoint,balanceanytimeontheApp.Discz’sdeterminationofthenumberofPointsyouhaveaccumulatedisfinal,andbinding.,OnceyouearnenoughPoints,youmayredeemthemforVirtualItemsandotherrewards(collectively,,“Rewards”)offeredonourApp.ToredeemyourPointsforRewards,youmustfollowtheinstructionson,theApp.AllPointredemptiontransactionsarefinalandcannotbecanceled,reversed,orrefundedunder,anycircumstances.,Rewardsmustbeacceptedasawardedandnosubstitutionsarepermitted.NeitherPointsnorRewardsare,redeemableforcash.CertainadditionaltermsandconditionsmayapplytoRewards,assetforthonthe,App.Allfederal,stateandlocaltaxesassociatedwithyourredemptionofPointsandreceiptofRewards,aresolelyyourresponsibility.,Disczisnotresponsibleforanyproblemsortechnicalmalfunctionofanytelephonenetworkorlines,,computeronlinesystems,serversorproviders,computerequipment,software,failureofanyemailor,serversonaccountoftechnicalproblemsortrafficcongestionontheInternetoranywebsite,orany,combinationthereof,oranyincompleteQualifiedActivity,orlost,late,delayed,ormisdirectedPoints.,DisczisnotresponsibleforanytypographicalorothererrorintheadministrationoftheallocationofPoints,orRewardsincludingthedescriptionofRewardsornumberofPointsrequiredtoearnaReward.Discz,reservestherightinoursoleandabsolutediscretiontocancel,terminate,modifyorsuspendPointsand,Rewardsforanyreasonornoreason.VOIDWHEREPROHIBITEDBYLAW.,9.IN-APPPURCHASES,ThroughtheApp,youmaypurchase,alimited,personal,non-transferable,non-sublicensable,revocable,licensetouse(a)Pointsand(b)virtualitems,includingbutnotlimitedtomp3playerimagesandstickers,,whichcanbeusedwithintheApp(“VirtualItems”andtogetherwith“Points,”“DigitalAssets”).,Withoutincurringanyliabilitytoyou,Disczmay:(i)modifyoreliminateDigitalAssetsatanytimewithout,noticetoyou,(ii)updatethepricingofDigitalAssetsatanytimeinitssolediscretion,and/or(iii)addnew,DigitalAssetsforadditionalfees.ExceptasexpresslyauthorizedbyDiscz,youareprohibitedfromselling,ortransferringDigitalAssetstoanypersonorentity,includingbutnotlimitedtoanotheruser,oranythird,party.,YouagreetopayallfeesandapplicabletaxesincurredunderyourDisczAccountandacknowledgeand,agreethatDisczmayupdatethepricingforDigitalAssetsatanytimeinitssolediscretion.You,acknowledgeandagreethatallinformationyouprovideinconnectionwithanypurchaseortransaction,completedorprocessedthroughtheAppshallbeaccurate,complete,andcurrent.,YouacknowledgeandagreethatpurchasesortransactionsmadethroughtheAppwillbeprocessedbya,thirdpartyinaccordancewiththeirrespectivetermsofuse,privacypolicy,and,ifapplicable,anyadditional,termsandconditions.Weencourageyoutofamiliarizeyourselfwiththepoliciesofsuchthirdparty.Inno,eventwillDisczberesponsiblefortheactionsorinactionsofanythird-partypaymentprocessor.,10.SUBSCRIPTIONS,Ifyousignupforanyofourvarioussubscriptionplans(“Subscriptions”)throughGooglePlayortheApple,AppStore,certainchargesapply.Youagreethattherelevantthird-partypaymentprocessorsmay,immediatelyauthorizeyourcreditcard(orotherapprovedfacility)forpaymentforanySubscriptions,purchasedbyyou.InconnectionwithanySubscription,allsalesarefinal,andwedonotacceptreturns,orexchanges.,PleasebeawarethatyouarerequiredtomanageyourSubscriptionsthroughGooglePlayortheAppleApp,StoreandnotthroughtheApp.PleasereviewthetermsapplicabletotheSubscript ontribution,Images,orstickerssubmittedbyyou,orthroughyourDisczAccount,anyothercontentthatisstreamed,posted,orotherwisecontributedthrough,yourDisczAccount,oranyothercontentthatyoustream,post,orotherwisecontribute.,23.TERMINATIONOFTHEAGREEMENT,Wereservetheright,inoursolediscretion,torestrict,suspend,orterminatethisAgreementandyouraccess,toalloranypartoftheApp,atanytimeandforanyreasonwithoutpriornoticeorliability.Wereserve,therighttochange,suspend,ordiscontinuealloranypartoftheAppatanytimewithoutpriornoticeor,liability.,24.BINDINGARBITRATION,IntheeventofadisputearisingunderorrelatingtothisAgreementortheApporanyotherproductsor,servicesprovidedbyus(each,a“Dispute”),suchdisputewillbefinallyandexclusivelyresolvedbybinding,arbitrationgovernedbytheFederalArbitrationAct(“FAA”).NEITHERPARTYSHALLHAVETHE,RIGHTTOLITIGATESUCHCLAIMINCOURTORTOHAVEAJURYTRIAL,EXCEPTEITHER,PARTYMAYBRINGITSCLAIMINITSLOCALSMALLCLAIMSCOURT,IFPERMITTEDBY,THATSMALLCLAIMSCOURTRULESANDIFWITHINSUCHCOURT’SJURISDICTION.,ARBITRATIONISDIFFERENTFROMCOURT,ANDDISCOVERYANDAPPEALRIGHTSMAY,ALSOBELIMITEDINARBITRATION.Alldisputeswillberesolvedbeforeaneutralarbitrator,whose,decisionwillbefinalexceptforalimitedrightofappealundertheFAA.Thearbitrationshallbe,commencedandconductedbytheJudicialArbitrationandMediationServices(“JAMS”)pursuanttoits,thencurrentComprehensiveArbitrationRulesandProceduresandinaccordancewiththeExpedited,Proceduresinthoserules,or,whereappropriate,pursuanttoJAMS’StreamlinedArbitrationRulesand,Procedures.AllapplicableJAMS’rulesandproceduresareavailableattheJAMSwebsite,http://www.jamsadr.com.EachpartywillberesponsibleforpayinganyJAMSfiling,administrativeand,arbitratorfeesinaccordancewithJAMSrules.Judgmentonthearbitrator’sawardmaybeenteredinany,courthavingjurisdiction.Thisclauseshallnotprecludepartiesfromseekingprovisionalremediesinaidof,arbitrationfromacourtofappropriatejurisdiction.Thearbitrationmaybeconductedinperson,through,thesubmissionofdocuments,byphone,oronline.Ifconductedinperson,thearbitrationshalltakeplace,intheUnitedStatescountywhereyoureside.Thepartiesmaylitigateincourttocompelarbitration,tostay,aproceedingpendingarbitration,ortoconfirm,modify,vacateorenterjudgmentontheawardenteredby,thearbitrator.Thepartiesshallcooperateingoodfaithinthevoluntaryandinformalexchangeofallnon-,privilegeddocumentsandotherinformation(includingelectronicallystoredinformation)relevanttothe,Disputeimmediatelyaftercommencementofthearbitration.NothinginthisAgreementwillpreventDiscz,fromseekinginjunctivereliefinanycourtofcompetentjurisdictionasnecessarytoprotectDiscz’s,proprietaryinterests.,25.CLASSACTIONWAIVER,YouagreethatanyarbitrationorproceedingshallbelimitedtotheDisputebetweenusandyouindividually.,Tothefullextentpermittedbylaw,(i)noarbitrationorproceedingshallbejoinedwithanyother;(ii)there,isnorightorauthorityforanyDisputetobearbitratedorresolvedonaclassaction-basisortoutilizeclass,actionprocedures;and(iii)thereisnorightorauthorityforanyDisputetobebroughtinapurported,representativecapacityonbehalfofthegeneralpublicoranyotherpersons.YOUAGREETHATYOU,MAYBRINGCLAIMSAGAINSTUSONLYINYOURINDIVIDUALCAPACITY,ANDNOTASA,PLAINTIFFORCLASSMEMBERINANYPURPORTEDCLASSORREPRESENTATIVE,PROCEEDING.,26.EQUITABLERELIEF,Youacknowledgeandagreethatintheeventofabreachorthreatenedviolationofourintellectualproperty,rightsandconfidentialandproprietaryinformationbyyou,wewillsufferirreparableharmandwill,thereforebeentitledtoinjunctiverelieftoenforcethisAgreement.Wemay,withoutwaivinganyother,remediesunderthisAgreement,seekfromanycourthavingjurisdictionanyinterim,equitable,provisional,,orinjunctivereliefthatisnecessarytoprotectourrightsandpropertypendingtheoutcomeofthearbitration,referencedabove.Youherebyirrevocablyandunconditionallyconsenttothepersonalandsubjectmatter,jurisdictionofthefederalandstatecourtsintheStateofNewYorkforpurposesofanysuchactionbyus.,27.CONTROLLINGLAW;EXCLUSIVEFORUM,TheAgreementandanyactionrelatedtheretowillbegovernedbythelawsoftheStateofNewYork,withoutregardtoitsconflictoflawsprovisions.ThePartiesherebyconsentandagreetotheexclusive,jurisdictionofthestateandfederalcourtslocatedintheStateofNewYorkforallsuits,actions,or,proceedingsdirectlyorindirectlyarisingoutoforrelatingtothisAgreement,andwaiveanyandall,objectionstosuchcourts,includingbutnotlimitedto,objectionsbasedonimpropervenueorinconvenient,forum,andeachpartyherebyirrevocablysubmitstotheexclusivejurisdictionofsuchcourtsinanysuits,,actions,orproceedingsarisingoutoforrelatingtothisAgreement.,28.MISCELLANEOUS,IftheAgreementisterminatedinaccordancewiththeterminationprovisioninSection23above,such,terminationshallnotaffectthevalidityofthefollowingprovisionsofthisAgreement,whichshallremain,infullforceandeffect:“IntellectualProperty,”“CommunicationswithUs,”“LimitationofLiability;,DisclaimerofWarranties,”“Indemnification,”“TerminationoftheAgreement,”“ControllingLaw;,ExclusiveForum,”and“Miscellaneous.”,OurfailuretoactonorenforceanyprovisionoftheAgreementshallnotbeconstruedasawaiverofthat,provisionoranyotherprovisioninthisAgreement.Nowaivershallbeeffectiveagainstusunlessmadein,writing,andnosuchwaivershallbeconstruedasawaiverinanyotherorsubsequentinstance.Exceptas,expresslyagreedbyusandyouinwriting,thisAgreementconstitutestheentireAgreementbetweenyou,anduswithrespecttothesubjectmatter,andsupersedesallpreviousorcontemporaneousagreements,,whetherwrittenororal,betweenthepartieswithrespecttothesubjectmatter.Thesectionheadingsare,providedmerelyforconvenienceandshallnotbegivenanylegalimport.ThisAgreementwillinuretothe,benefitofoursuccessors,assigns,licensees,andsublicensees.YoumaynotassigntheseTerms,inwhole,orinpart,nortransferorsublicenseyourrightsundertheseTerms,toanythirdparty.
