Terms and Conditions Last Modified: April 1st, 2022 These terms of use (“Terms”) constitute a legally binding agreement between us, Becovi Ltd (“we”, “us” or “Company”) and you (“you”, “user(s)”). These Terms govern your use of our search engine (“Services”). Therefore if you do not agree to any of the provisions herein, or if applicable law prohibits your acceptance of these Terms, you may not use our Services. You hereby warrant that you are eligible to enter into these Terms and are not prohibited to do so by any authorized authority, judicial order or law. You further represent and warrant that you are of legal competence and: (i) at least thirteen (13) years old if you reside in the US. (ii) at least sixteen (16) years old if you reside in the EEA. or (iii) above the age of a “child” in accordance with the applicable laws in your jurisdiction. We may amend these Terms from time to time, at our sole discretion and without any prior notice to you. Any changes to these Terms are effective as of the stated “Last Modified” date and your continued use of the Services following the Last Modified date will constitute acceptance of, and agreement to be bound by, those changes. Grant of License and Intellectual Property Rights Subject to your compliance with these Terms, we hereby grant you a personal, non-commercial, limited, revocable, non-transferable, non-sub-licensable and non-exclusive right and license to access and use the Services. Other than the limited license granted herein, we reserve all rights and interests in and to the Services, including all trademarks, service marks, components, code, protocols, software and documentation as well as any derivatives thereof or improvements and modifications, evidenced by or embodied in or related to the Service, which are our property or the property of our licensors, and are protected by international copyright, trademarks, patents and other proprietary rights and laws. You may not use, delete, alter, or remove any copyright, trademark, or other proprietary rights notice placed in the Services. We reserve the right to disable access to the Services by anyone who uses them to infringe intellectual property rights. Our Services will include links (including search results) to third parties’ content, websites, or other digital assets that are not operated, owned or developed by us and which we do not have any control over. We do not monitor, review, or endorse any third-party content and we are not responsible for its accuracy, safety, security or legality. Sponsored Search Results Note that advertisements, in the form of sponsored search results, might be included in the Services (depending on your geo location). These sponsored search results are not provided or incorporated by Google, and we receive payments from our third party partners in consideration for placing such advertisements. Prohibited Use You are explicitly prohibited from directly or indirectly doing any of the following while using our Service, or in connection with such use: <ul> <li>Interfering in any way with another users’ use of the Services;</li> <li>Circumventing, disabling, or interfering with security-related features of the Services;</li> <li>Using any automated means to download, store or reproduce the Service or manipulate the Services we offer in anyway;</li> <li>Change, copy, take apart, or create any derivative works or reverse engineer the Services and any component of it;</li> <li>Use the Services for fraudulent, illegal or inappropriate purposes, including, but not limited to the infringement of any privacy rights of a third party.</li> </ul> Modifications, Uninstallations, and Updates We are entitled to, at our sole discretion, update, modify, revise, or change any component, feature or function of the Services without providing you with prior notice of our intention to do. Please note that, notwithstanding the aforementioned, we are under no obligation to provide any features, functionality, upgrades or to fix errors. If you are dissatisfied with the Service, your sole option is to discontinue or terminate your use. Disclaimer and Limitation of Liability The Services are provided to you on an “as-is” and “as-available” basis. We expressly disclaim any and all warranties related to the Services, whether express or implied, including, but not limited to, any warranties regarding non infringement, merchantability or fitness of the Services for a particular purpose of use. We do not represent or warrant that the Services will be error free, secured, free of any malicious components, or viruses, nor do we guarantee that it will be available or accessible at all times. We do not bear any responsibility or liability for damages, which may occur as a result of your use of the Services, including damages to your device or loss of data. We furthermore, do not undertake to rectify any errors or defects. Any use of the Services shall be done at your own risk including any decisions that was based on the content provided in these Terms or the privacy policy. We and our affiliates, and each of our respective officers, directors, employees and agents, vendors, distributors, and third party licensors shall not be liable or responsible for any indirect, incidental, special, punitive, consequential, or exemplary damages resulting from your use or inability to use the Services. This limitation of liability also applies to damages resulting from any loss of profits, business, business opportunity, goodwill, or any other intangible loss, even if we were previously notified of the possibility of such damages. In the event your applicable jurisdiction does not allow for this limitation of liability, our limitation of liability shall be to the extent permitted by applicable law. Indemnification You will indemnify, defend, and hold us and our affiliates, subsidiaries, successors, contractors, employees, directors, agents, suppliers, licensors, service providers and partners, harmless from any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including legal fees), that may arise from your use of the Services which infringes these Terms, the Privacy Policy or any applicable law. Dispute Resolution This Agreement is governed by the laws of the State of Ireland without regards to its conflict of laws principles and shall be brought exclusively before the courts of Ireland. Miscellaneous These Terms constitute the understandings between you and us in connection with your use of the Services. Any provisions, which by their nature are intended to survive termination of these Terms, shall survive the termination. If any provision of these Terms are considered to be unenforceable, such provision shall be modified only to the extent necessary to make it enforceable which shall not affect the enforceability of such provision in the future or under other circumstances. Our failure to enforce any rights or to take action in the event of breach of these Terms shall not be considered to be a waiver of any of our rights or of any additional actions in the event of any breaches that may occur in the future.
