E–EXAMTAKER,LastUpdated:May,2021,HonorlockInc.(“Honorlock,”“we,”“us,”or“our”)providesyouaccesstooneormoreofour,onlinetestproctoringapplicationsandbrowserextensions(each,an“App”),andtheproctoring,servicesweprovidethroughtheApps(togetherwiththeApps,the“Services”),subjecttothe,followingtermsandconditionsofservice(the“ExamTakerAgreement”).Theterm“you”applies,toanypersonthattakesanexamthatisproctoredwithourServices.,HonorlockprovidestheServicespursuanttoouragreementwithyourTestingOrganization(as,definedbelow).PleasereviewourExamTakerPrivacyNotice,availableat,https://honorlock.com/legal/app_privacy,fordetailsabouthowweprocesstheinformationwe,collectaboutyouinconnectionwiththeServices.,BytakinganyexamthatutilizesourServices,youacknowledgethatyouhaveread,understood,,andagreetobelegallyboundbythisExamTakerAgreement.Ifyoudonotagreetoanyofthe,termsoftheExamTakerAgreement,thenyouarenotauthorizedtoinstallanyApporotherwise,useanyofourServices.,Thesectionbelowtitled“DisputeResolution;BindingArbitration”containsabinding,arbitrationagreementandclassactionwaiver.Theyaffectyourlegalrights.Pleaseread,them.,Wereservetheright,atoursolediscretion,tomodify,discontinue,orterminatetheServices,or,tomodifytheExamTakerAgreement,atanytime.IfwemodifytheExamTakerAgreement,we,willprovidenoticetoyoubypostingthemodificationonourwebsiteathttps://honorlock.com/,,throughthedownloadpagewhereyoucaninstallanApp,andwemayalsoprovideyouwith,additionalnoticeofthemodificationatthelastemailaddressyouprovidedtous.Ifyoucontinue,toaccessoruseourServicesafterwehaveprovidednoticeofthemodifiedExamTaker,Agreement,youareindicatingthatyouagreetobeboundbythemodifiedExamTaker,Agreement.IfthemodifiedExamTakerAgreementisnotacceptabletoyou,youronlyrecourse,istoceaseusingtheServices.Unlesschangesaremadetothearbitrationandclassaction,waiverprovisionunderSection12,youagreethatmodificationofthisExamTakerAgreement,doesnotcreateanewrighttooptoutofarbitration.,1.APPANDSERVI C ESDES C RIPTION,(a)OurServicesassistorganizations(each,a“TestingOrganization”)inofferingonline,examinations(each,an“Exam”).Organizationsthatdesiretouseourproctoring,ServicesmustsubscribetoourServicesbycontractingwithHonorlockdirectly.Whena,professor,instructor,oradministratorfromtheTestingOrganization(the“Administrator”),desirestoofferanExamonline,theAdministratoradministerssuchonlineExamsviaits,learningmanagementsystem,suchasBlackboard, C anvas,orDesire2Learn(each,an,“LMS”).OurServicesaredesignedtointegratewiththeLMSsothatHonorlock’s,proctors(each,a“Proctor”)canviewtheestablishedsettingsoftheExam,helpexam, C opyright2021HonorlockInc.Allrightsreserved.,takerstaketheExam(each,an“ExamTaker”)andmonitorforsuspectedmisconduct.,(b)AsanExamTaker,youwillneedtofollowtheinstructionsprovidedbyHonorlock,the,applicableLMSandyourTestingOrganization(orAdministrator)priortostartingthe,Exam,includinginstallinganyrequiredApps.Forinstance,youmayberequiredtologin,toanLMSaccountoruseaspecificwebbrowserinordertoaccessyourExam.,Honorlockisnotassociatedwithorresponsiblefor,anddoesnotendorse,any,third-partywebsiteorserviceyouuseinconnectionwiththeServices,including,without,limitation,theproviderofyourbrowserordevice,anyTestingOrganization,oranyLMS.,(c)YourepresentandwarrantthatyouhavetheauthoritytoinstallanyAppontoanydevice,youareusingtotakeanexam.Wegrantyoualimited,non-exclusive,revocablelicense,toinstallasinglecopyofanApponadevicethatyouownorcontrolsolelyforthe,purposeoftakinganyexamthatutilizesourServices.,2.TE C HNI C ALREQUIREMENTS;USA G ERESTRI C TIONS,InordertoaccessanduseourServices,youmayberequiredtohaveadevicethat(a)hasa,workingwebcameraandmicrophone,and(b)meetsHonorlock’sminimumtechnical,requirementsfoundathttps://honorlock.com/support,whichmaybeamendedfromtimetotime.,WhenusingourServices,youagreetothefollowing:,●Youwillcomplywithallapplicablelaws,andwillnotengagein,encourageorpromote,anyactivitythatviolatesthisExamTakerAgreement;,●Youwillprovideaccurate,complete,andup-to-dateinformationaboutyourselfwhen,requested;,●Youwillnotimpersonateanypersonorentityorfalselystateorotherwisemisrepresent,youraffiliationwithapersonorentity;,●Youwillnotengageinanyharassing,threatening,intimidating,orpredatoryconduct;,●Youwillnotsell,orlicenseorresellaccessto,ourServices;,●YouwillnotuseorattempttouseanotherExamTaker’saccount;,●Youwillnotinterferewith,orattempttointerrupttheproperoperationof,theServices,throughtheuseofanyvirus,device,informationcollectionortransmissionmechanism,,softwareorroutine,oraccessorattempttogainaccesstoanydata,files,orpasswords,relatedtotheServicesthroughhacking,passwordordatamining,oranyothermeans;, opyright2021HonorlockInc.Allrightsreserved.,●Youwillnotdecompile,reverseengineer,ordisassembleanyaspectoftheServices,or,otherproductsorprocessesaccessiblethroughtheServices,orotherwisemodifyor,tamperwithourServices;,●Youwillnotcopy,reproduce,distribute,publiclyperformorpubliclydisplayallorportions,oftheServices,exceptasexpresslypermittedbyus;,●YouwillnotdeveloporuseanyapplicationsthatinteractwithourServiceswithoutour,priorwrittenconsent,andwillnotattempttocheatorotherwiseengageinmisconduct,whileusingourServices;,●Youwillnotuseanydevicetocheatorforanyotherpurposenotpermittedbyyour,TestingOrganization;,●Youwillnotattempttodisguiseyourlocation,includingthelocationofyourdevice;,●Ifyouhaveauthorizedustoaccessyourdevicecameraandmicrophonetotakeaudio,andvisualrecordings,youwillnotallowanotherpersonintheroomwhileyouareusing,theServicesunlessthatotherpersonhasconsentedtoouranalyzing,usingand,disclosingtheiraudioandvideorecordingtoprovideourservicestoyourTesting,Organization;,●Youwillnotuseanyrobot,spider,scraper,orotherautomatedmeanstoaccessor,scrapeanyoftheServicesforanypurpose;and,●YouwillnotuseourServicesotherthanfortheirintendedpurpose,includingtakingany,actionthatimposesormayimpose(inoursolediscretion)anunreasonableor,disproportionatelylargeloadonourtechnicalinfrastructure.,PleasebeadvisedthatHonorlockreservestherighttopermanentlybananExam,TakerfromusingandaccessingourServices,includingifwe,inourdiscretion,,determinethattherewasanyattempttotakeanyactioninbreachofthisExam,TakerAgreement.,3.AUTHENTI C ATION;ENABLIN G DEVI C ES;AUTHORIZATION,(a)WhenyouusetheServicesinordertotakeyourExam,youmayberequiredtoenable,certainfeaturesonyourdevice,suchasthecameraandmicrophone,totakecertain,recordingsorallowourServicestotakecertainaudioorvisualrecordings.Ifyouallow,ourServicestohaveaccesstoyourdevicecameraormicrophone,thenyouauthorize,ustoaccessyourdevicecameraandmicrophonetotakeaudioandvisualrecordings,,andprocessthoserecordingstoprovideourServicestoyourTestingOrganization.You,acknowledgeandagreethatwhenweprocesstheserecordings,(i)wemaycollect,informationaboutthetesttaker’sfaceandvoicetodeterminewhetherthereareother,peopleintheroomandwhatwordstheyarespeaking(withouttryingtoidentifyany, opyright2021HonorlockInc.Allrightsreserved.,particularperson);(ii)wemayusethisinformationsolelytoprovideourServicestothe,TestingOrganizationand(iii)wemaystorethisinformationforoneyearunlessotherwise,requestedbytheorganizationandinnoeventlongerthanthreeyearsafteryourlast,interactionwithourServices.,(b)AspartoftheServicesrequestedbyyourTestingOrganization,youmayalsobe,requiredtodownloadanAppdesignedtodetectandblockyouruseofprohibited,applicationsduringanExam.ThisAppmaysendinformationregardingsuspectedusage,ofaprohibitedapplicationonyourdeviceandmaycauseyourdevicetoforceclosethe,prohibitedapplication.BydownloadingthisApp,youauthorizeustoaccessyourdevice,viatheAppforthesepurposes.Formoredetailsonhowweprocessinformationabout,youviaourServices,pleaseseeourprivacypolicy,(https://honorlock.com/legal/app_privacy).,(c)IfanotherpersontakesanexamthatutilizesourServicesthroughthesamedeviceonto,whichyouhaveinstalledanApp,then,beforetheybeginsuchexam,youwill(i)provide,noticetothemofourprivacypolicyandanyotherprivacynoticesdisplayedviaour,Services,(ii)ensurethattheyagreetothisExamTakerAgreement,and(iii)ensurethat,theyprovideallconsentsrequestedthroughtheServices.Theforegoingobligationwill,notapplyifweareabletoobtainanysuchagreementsandconsents,andprovideany,suchnotices,directlyfrom/tothatotheruser.,4.PRO C TORIN G DURIN G THEEXAM,(a)ProctorshavetheabilitytopauseyourExamandtocommunicatewithyoudirectlyvia,livechat,suchasintheeventofsuspectedmisconduct.AProctormayalsoinformthe,TestingOrganizationandAdministratorofactivitiesoccurringthroughtheServices,,includingsuspectedmisconduct.PleasebeadvisedthatwhenanExamispausedbya,Proctor,youmaynotrecoverthelosttime.PleasecontactyourTestingOrganizationfor,moreinformationaboutitsExamandproctoringpolicies.,(b)HonorlockofferscertainadditionalfeaturesandfunctionalitiestoTestingOrganizations,andAdministratorsforaddedproctoringandExamprotection,suchas“seedsites”that,aredesignedtodetectExamTakersattemptingtocheatusingasecondarydevice.You,donothavetheabilitytoenableordisabletheseadditionalfeaturesandfunctionalities,,andyoumaynotknowwhetherornotthesefeaturesandfunctionalitiesarerunning,duringyourExam.,(c)Weurgeyoutoassumethatsuchfeaturesarealwaysenabled,soyoushould,neveruseanotherdevicetoengageinanyprohibitedactivity,includingtosearch,theInternetforyourExam(orforanswerstoyourExam)whileyouaretakingthe,Exam.,5.SUPPORT;FEEDBA C LAIMER;LIMITATIONOFLIABILITY,(a)YouacknowledgethatalthoughtheServicesandotherinformationormaterials,providedbyHonorlockcanbeusedasaidstoTestingOrganizationsand,Administratorstomakedecisionsaboutsuspectedmisconduct,theTesting,OrganizationandAdministratorsaresolelyresponsiblefordeterminingwhether,anymisconducthasoccurredandthedecisionsmadeaboutanysuspected,misconduct.IfanExamTakerdesirestocontestanallegationofmisconduct,they,shouldraisetheirconcerndirectlywiththeTestingOrganizationorAdministrator,,andnottoHonorlock.Honorlockdoesnotguaranteeorendorsetheaccuracy,,completeness,orreliabilityofanyServicesoranyinformationormaterials,providedbyHonorlocktoyouortotheTestingOrganization.,(b)YouruseoftheServicesandyourdeviceswhiletakinganExamisatyourown,risk.,(c)YouacknowledgethattheServicesmaycontainbugs,errors,andotherproblems,thatcouldcausesystemfailures.TheServicesandallotherinformationand,materialsprovidedbyHonorlockareprovided“asis”and“asavailable,”and,Honorlockmakesnorepresentationsorwarrantieswithrespecttothesameor,otherwiseinconnectionwiththisExamTakerAgreement,andherebydisclaims,anyandallexpress,implied,orstatutorywarranties,including,withoutlimitation,,anywarrantiesofnon-infringement,merchantability,fitnessforaparticular,purpose,availability,error-freeoruninterruptedoperation,andanywarranties,arisingfromacourseofdealing,courseofperformance,orusageoftrade., opyright2021HonorlockInc.Allrightsreserved.,(d)Weandouraffiliatesandourandtheirrespectiveofficers,directors,employees,,agents,successors,licensees,licensors,andassigns(the“HonorlockParties”),shallnotbeliableforanyindirect,incidentalorconsequentialdamages,lost,profits,ordamagesresultingfromyouraccesstooruseoftheServices,,including,withoutlimitationanylostdataresultingfromtheuseorinabilityto,accessandusetheServicesoranywebsite,evenifwehavebeenadvisedofthe,possibilityofsuchdamages.Additionally,theHonorlockPartiesshallnotbe,liableforanydirectdamagesthatyoumaysufferasaresultofyouruseofthe,ServicesinexcessofonehundredU.S.dollars($100).,(e)Nocauseofactionarisingunderstatute,tort,contract,orwarrantyrelatedtothe,Services,orotherwisearisingunderthisExamTakerAgreement,regardlessof,form,maybebroughtbyyoumorethanone(1)yearaftersuchactionhas,accrued.,(f)Somejurisdictionsdonotallowtheexclusionorlimitationofcertainwarranties;,therefore,someoftheabovelimitationsinthissectionmaynotapplytoyou.,NothinginthisExamTakerAgreementshallaffectanynon-waivablestatutoryrightsthat,applytoyou.,7.INDEMNIFI C ATION,Youagreetodefend,indemnify,andholdtheHonorlockPartiesharmlessfromandagainstany,damages,liabilities,losses,expenses,claims,actions,and/ordemands,including,without,limitation,reasonablelegalandaccountingfees,arisingorresultingfrom:(i)yourbreachofthis,ExamTakerAgreement;(ii)yourmisuseoftheServices;and/or(iii)yourviolationofany,third-partyrights,includingwithoutlimitationanycopyright,trademark,property,publicity,or,privacyright.Weshallprovidenoticetoyouofanysuchclaim,suit,orproceedingandshall,assistyou,atyourexpense,indefendinganysuchclaim,suit,orproceeding.Wereservethe,righttoassumetheexclusivedefenseandcontrol(atyourexpense)ofanymatterthatissubject,toindemnificationunderthissection.Insuchcase,youagreetocooperatewithanyreasonable,requestsassistingourdefenseofsuchmatter.,8.INTELLE TUALPROPERTY,(a)TheServicesmaycontainmaterialsuchasvideos,photographs,software,text,,graphics,images,soundrecordings,andothermaterialprovidedbyoronbehalfof,Honorlockoritslicensors(collectivelyreferredtoasthe“ C ontent”).The C ontentmaybe,ownedbyusorthirdparties.The C ontentisprotectedunderbothUnitedStatesand,foreignlaws.Unauthorizeduseofthe C ontentmayviolatecopyright,trademark,and,otherlaws.,(b)Youmayviewall C ontentforyourownpersonal,internaluse.Nootheruseispermitted,withoutthepriorwrittenconsentofHonorlock.Honorlockanditslicensorsretainallright,,title,andinterest,includingallintellectualpropertyrights,inandtothe C ontent.You, C opyright2021HonorlockInc.Allrightsreserved.,mustretainallcopyrightandotherproprietarynoticescontainedintheoriginal C ontent.,Youmaynotsell,transfer,assign,license,sublicense,ormodifythe C ontentor,reproduce,display,publiclyperform,makeaderivativeversionof,distribute,or,otherwiseusethe C ontentinanywayforanypublicorcommercialpurpose.Theuseor,postingofthe C ontentonanyotherwebsite,socialmediapage,orinanetworked,computerenvironmentforanypurposeisexpresslyprohibited.,(c)Thetrademarks,servicemarks,andlogosofHonorlock(the“HonorlockTrademarks”),usedanddisplayedontheServicesareregisteredandunregisteredtrademarksor,servicemarksofHonorlock.Othercompany,product,andservicenameslocatedonthe,Servicesmaybetrademarksorservicemarksownedbyothers(the“Third-Party,Trademarks,”and,collectivelywithHonorlockTrademarks,the“Trademarks”).Nothing,ontheServicesshouldbeconstruedasgranting,byimplication,estoppel,orotherwise,,anylicenseorrighttousetheTrademarks,withoutHonorlock’spriorwrittenpermission,specificforeachsuchuse.UseoftheTrademarksaspartofalinktoorfromanysiteis,prohibitedunlessestablishmentofsuchalinkisapprovedinadvancebyusinwriting.All,goodwillgeneratedfromtheuseofHonorlockTrademarksinurestoourbenefit.,(d)ElementsoftheServicesareprotectedbytradedress,trademark,unfaircompetition,,andotherstateandfederallawsandmaynotbecopiedorimitatedinwholeorinpart,,byanymeans,including,butnotlimitedto,theuseofframingormirrors.Noneofthe, C ontentmayberetransmittedwithoutourexpress,writtenconsentforeachandevery,instance.,9.
C OMPLIAN C EWITHAPPLI C ABLELAWS,TheServicesarebasedintheUnitedStates.Wemakenoclaimsconcerningwhetherthe,Servicesmaybeaccessed,downloaded,viewed,orbeappropriateforuseoutsideoftheUnited,States.IfyouaccesstheServicesfromoutsideoftheUnitedStates,youdosoatyourownrisk.,WhetherinsideoroutsideoftheUnitedStates,youaresolelyresponsibleforensuring,compliancewiththelawsofyourspecificjurisdiction.,10.TERMINATIONOFTHEEXAMTAKERA G REEMENT,Wereservetheright,inoursolediscretion,torestrict,suspend,orterminatetheExamTaker,AgreementandyouraccesstoalloranypartoftheServices,atanytimeandforanyreason,withoutpriornoticeorliability.Wereservetherighttochange,suspend,ordiscontinueallorany,partoftheServicesatanytimewithoutpriornoticeorliability.Sections5-14shallsurvivethe,terminationofthisExamTakerAgreement.,11.
C ONTROLLIN G LAW,ThisExamTakerAgreementandanyactionrelatedtheretowillbegovernedbythelawsofthe,StateofDelawarewithoutregardtotheconflictoflawrulesorprinciplesofanyother,jurisdiction., C opyright2021HonorlockInc.Allrightsreserved.,12.DISPUTERESOLUTION;BINDIN G ARBITRATION,Pleasereadthefollowingsectioncarefullybecauseitrequiresyoutoarbitratecertain,disputesandclaimswithHonorlockandlimitsthemannerinwhichyoucanseekrelief,fromus,unlessyouoptoutofarbitrationbyfollowingtheinstructionssetforthbelow.,Noclassorrepresentativeactionsorarbitrationsareallowedunderthisarbitration,agreement.Inaddition,arbitrationprecludesyoufromsuingincourtorhavingajury,trial.,a)NoRepresentativeActions.YouandHonorlockagreethatanydisputearisingout,oforrelatedtothisExamTakerAgreementorourServicesispersonaltoyouand,Honorlockandthatanydisputewillberesolvedsolelythroughindividualaction,,andwillnotbebroughtasaclassarbitration,classactionoranyothertypeof,representativeproceeding.,b)ArbitrationofDisputes.ExceptforsmallclaimsdisputesinwhichyouorHonorlock,seekstobringanindividualactioninsmallclaimscourtlocatedinthecountyofyour,billingaddressordisputesinwhichyouorHonorlockseeksinjunctiveorotherequitable,relieffortheallegedunlawfuluseofintellectualproperty,youandHonorlockwaive,yourrightstoajurytrialandtohaveanydisputearisingoutoforrelatedtothis,ExamTakerAgreementorourServicesresolvedincourt.Instead,foranydisputeor,claimthatyouhaveagainstHonorlockorrelatinginanywaytotheServices,youagree,tofirstcontactHonorlockandattempttoresolvetheclaiminformallybysendingawritten,noticeofyourclaim(“Notice”)toHonorlockbyemailatprivacy@honorlock.com.The,Noticemust(a)includeyourname,residenceaddress,emailaddress,andtelephone,number;(b)describethenatureandbasisoftheclaim;and(c)setforththespecificrelief,sought.Ournoticetoyouwillbesimilarinformtothatdescribedabove.Ifyouand,Honorlockcannotreachanagreementtoresolvetheclaimwithinthirty(30)daysafter,suchNoticeisreceived,theneitherpartymaysubmitthedisputetobindingarbitration,administeredbyJAMSor,underthelimitedcircumstancessetforthbelow,incourt.All,disputessubmittedtoJAMSwillberesolvedthroughconfidential,bindingarbitration,beforeonearbitrator.Arbitrationproceedingswillbeconductedtelephonicallyorvia,videoconference,inaccordancewiththeJAMSStreamlinedArbitrationRulesand,Procedures(“JAMSRules”),unlessthearbitratordeterminesthatanin-personhearingis,appropriate.Anyin-personappearanceswillbeheldatalocationthatisreasonably,convenienttobothparties.Ifthepartiesareunabletoagreeonalocation,thearbitrator,willdeterminethelocation.ThemostrecentversionoftheJAMSRulesareavailableon,theJAMSwebsiteandareherebyincorporatedbyreference.Youeitheracknowledge,andagreethatyouhavereadandunderstandtheJAMSRulesorwaiveyouropportunity,toreadtheJAMSRulesandwaiveanyclaimthattheJAMSRulesareunfairorshould,notapplyforanyreason.,c)YouandHonorlockagreethatthetermsofthisExamTakerAgreementaffectinterstate,commerceandthattheenforceabilityofthisSection12willbesubstantivelyand, C opyright2021HonorlockInc.Allrightsreserved.,procedurallygovernedbytheFederalArbitrationAct,9U.S.
C .§1,etseq.(the“FAA”),to,themaximumextentpermittedbyapplicablelaw.AslimitedbytheFAA,thisExamTaker,AgreementandtheJAMSRules,thearbitratorwillhaveexclusiveauthoritytomakeall,proceduralandsubstantivedecisionsregardinganydisputeandtograntanyremedy,thatwouldotherwisebeavailableincourt,includingthepowertodeterminethequestion,ofarbitrability.Thearbitratormayconductonlyanindividualarbitrationandmaynot,consolidatemorethanoneindividual’sclaims,presideoveranytypeofclassor,representativeproceedingorpresideoveranyproceedinginvolvingmorethanone,individual.,d)Thearbitrator,Honorlock,andyouwillmaintaintheconfidentialityofanyarbitration,proceedings,judgmentsandawards,including,butnotlimitedto,allinformation,gathered,preparedandpresentedforpurposesofthearbitrationorrelatedtothe,dispute(s)therein.Thearbitratorwillhavetheauthoritytomakeappropriaterulingsto,safeguardconfidentiality,unlessthelawprovidestothecontrary.Thedutyof,confidentialitydoesnotapplytotheextentthatdisclosureisnecessarytoprepareforor,conductthearbitrationhearingonthemerits,inconnectionwithacourtapplicationfora,preliminaryremedyorinconnectionwithajudicialchallengetoanarbitrationawardorits,enforcement,ortotheextentthatdisclosureisotherwiserequiredbylaworjudicial,decision.,e)YouandHonorlockagreethatforanyarbitrationyouinitiate,youwillpaythefilingfee,andHonorlockwillpaytheremainingJAMSfeesandcosts.Foranyarbitrationinitiated,byHonorlock,HonorlockwillpayallJAMSfeesandcosts.,f)AnyclaimarisingoutoforrelatedtothisExamTakerAgreementorourServices,mustbefiledwithinoneyearaftersuchclaimarose;otherwise,theclaimis,permanentlybarred,whichmeansthatyouandHonorlockwillnothavetheright,toasserttheclaim.,g)Youhavetherighttooptoutofbindingarbitrationwithin30daysofthedateyou,firstacceptedthetermsofthisSection12byemailingusat,privacy@honorlock.com.Inordertobeeffective,theopt-outnoticemustincludeyour,fullnameandaddressandclearlyindicateyourintenttooptoutofbindingarbitration.By,optingoutofbindingarbitration,youareagreeingtoresolvedisputesinaccordancewith,Section13.,h)IfanyportionofthisSection12isfoundtobeunenforceableorunlawfulforanyreason,,(i)theunenforceableorunlawfulprovisionshallbeseveredfromthisExamTaker,Agreement;(ii)severanceoftheunenforceableorunlawfulprovisionshallhaveno,impactwhatsoeverontheremainderofthisSection12ortheparties’abilitytocompel,arbitrationofanyremainingclaimsonanindividualbasispursuanttothisSection12;,and(iii)totheextentthatanyclaimsmustthereforeproceedonaclass,collective,,consolidated,orrepresentativebasis,suchclaimsmustbelitigatedinacivilcourtof, C opyright2021HonorlockInc.Allrightsreserved.,competentjurisdictionandnotinarbitration,andthepartiesagreethatlitigationofthose,claimsshallbestayedpendingtheoutcomeofanyindividualclaimsinarbitration.,Further,ifanypartofthisSection12isfoundtoprohibitanindividualclaimseeking,publicinjunctiverelief,thatprovisionwillhavenoeffecttotheextentsuchreliefis,allowedtobesoughtoutofarbitration,andtheremainderofthisSection12willbe,enforceable.,13.EQUITABLERELIEF.
G OVERNIN G LAW,Youacknowledgeandagreethatintheeventofabreachorthreatenedviolationofour,intellectualpropertyrightsandconfidentialandproprietaryinformationbyyou,wewillsuffer,irreparableharmandwillthereforebeentitledtoinjunctiverelieftoenforcethisExamTaker,Agreement.Wemay,withoutwaivinganyotherremediesunderthisExamTakerAgreement,,seekfromanycourthavingjurisdictionanyinterim,equitable,provisional,orinjunctivereliefthat,isnecessarytoprotectourrightsandpropertypendingtheoutcomeofthearbitrationreferenced,above.Youherebyirrevocablyandunconditionallyconsenttothepersonalandsubject,matterjurisdictionofthefederalandstatecourtsintheStateofDelawareforpurposesof,anysuchactionbyusoranyotherclaimnotsubjecttoarbitration(forreasonsdescribed,inSection12(h)above).,14.MIS C ELLANEOUS,(a)OurfailuretoactonorenforceanyprovisionofthisExamTakerAgreementshallnotbe,construedasawaiverofthatprovisionoranyotherprovisioninthisExamTaker,Agreement.Nowaivershallbeeffectiveagainstusunlessexpresslywaivedbyusin,writing,andnosuchwaivershallbeconstruedasawaiverinanyotherorsubsequent,instance.Exceptasexpresslyagreedbyusandyouinwriting,thisExamTaker,Agreementconstitutestheentireagreementbetweenyouanduswithrespecttothe,subjectmattersetforththerein,andsupersedesallpreviousorcontemporaneous,agreements,whetherwrittenororal,betweenthepartieswithrespecttothesubject,matter.,(b)IfanyprovisionorpartofaprovisionofthisExamTakerAgreementisunlawful,voidor,unenforceable,thatprovisionorpartoftheprovisionisdeemedseverablefromthis,ExamTakerAgreementanddoesnotaffectthevalidityandenforceabilityofany,remainingprovisions.,(c)Thesectionheadingsareprovidedmerelyforconvenienceandshallnotbegivenany,legalimport.ThisExamTakerAgreementmaynotbetransferred,assignedordelegated,byyou,byoperationoflaworotherwise,withoutourpriorwrittenconsent,andany,attemptedtransfer,assignmentordelegationwithoutsuchconsentwillbevoidand,withouteffect.Wemayfreelytransfer,assignordelegatethisExamTakerAgreement,in,wholeorinpart,withoutyourpriorwrittenconsent.ThisExamTakerAgreementwill,inuretothebenefitofoursuccessors,assigns,licensees,andsublicensees., C opyright2021HonorlockInc.Allrightsreserved.
